Grantor's disapproval must be reasonable and may be based only on <br /> one or more of the following grounds: (a) the proposed new outdoor advertising <br /> facilities could interfere with Grantor's railroad operations or maintenance, or <br /> with other then current or then reasonably foreseeable activities of either Grantor <br /> or any other party then having, or who then foreseeably could have, a right from <br /> Grantor to conduct such activities; (b) the proposed new outdoor advertising <br /> facilities, or the use of access rights to construct, operate, maintain, modify, <br /> replace or remove such facilities, could create a safety hazazd; or (c) the proposed <br /> new outdoor advertising facilities, to Grantor's knowledge, could violate one or <br /> more then applicable federal,state or local law,rule, ordinance or regulation. <br /> 4. If during the construction, modification, replacement, maintenance or operation <br /> of any signboard, soils or other materials considered to be environmentally <br /> contaminated are exposed or contaminated by Grantee, Grantee shall remove and <br /> � safely dispose of such contaminated soils or other materials. Grantee shall <br /> indemnify, protect and defend Grantor from any and all liability, claims or <br /> demands which arise as a result of any exposure anc�/or removal of any <br /> contaminated soils or materials. <br /> 5. Grantee agrees to keep the Premises free and clear from debris and to cut and <br /> remove, or cause to be cut and removed, at Grantee's sole expense, all weeds and <br /> vegetation on the Premises to the extent necessary to comply with all applicable <br /> federal, state or local laws, rules, ordinances, and regulations, and Grantee shall <br /> abate any and all fire hazards. <br /> 6. Grantee shall bear the cost of removal, relocation or reconstruction of any and all <br /> fences, telephone or telegraph poles, or other facilities, the removal, relocation or <br /> reconstruction of which may be made necessary by reason of the use, <br /> construction, modification, replacement, maintenance or removal of any outdoor <br /> facilities on the Premises. <br /> 7. Grantee,at its sole expense, shall make adjustment with any and all other parties <br /> for any buildings or improvements that may have to be relocated, modified, <br /> reconstructed or destroyed by reason of the use, construction, modification, <br /> replacement, maintenance or removal of outdoor advertising facilities on the <br /> Premises. <br /> 8. Grantee or its contractor(s) shall telephone Grantor's Communication Network <br /> Control Center at (800) 533-2891 (a 24 hour number to determine if fiber optic <br /> cable is buried anywhere on the Premises); and if fiber optic cable is buried <br /> anywhere on the Premises, Grantee or its contractor(s) will contact the <br /> Telecommunications Company(ies) involved, and make arrangements with the <br /> Telecommunications Company(ies) for protection of the fiber optic cable prior to <br /> beginning any work on the Premises. <br /> S:\450D\4994.000\6asemenfa\Nebnska EaeemenLdoc ' <br /> 3 <br />
