<br /> 9. The provisions of this Easement shall be binding upon and inure to the benefit of
<br /> the heirs, executors, administrators, assignees and successors of Grantor and
<br /> Grantee.
<br /> 10. Grantor does not warrant its title to the Premises, nor undertake to defend
<br /> Grantee in the peaceable possession, use or enjoyment of the Premises; and the
<br /> grant herein made is subject to all outstanding rights or interest of others, and all
<br /> encumbrances on the Premises, including Grantor's mortgages, and all such
<br /> interests which Grantor in the future may place on the Premises. In the event that
<br /> action taken or permitted by Grantor on the Premises is likely to materially
<br /> adversely affect the visibility of any outdoor advertising facilities located on the
<br /> Premises, Grantor and/or Grantee will use reasonable efforts to identify an
<br /> alternative site for the outdoor advertising facilities on other property in which
<br /> Grantee has an ownership interest, and Grantor will convey an alternative
<br /> Easement to Grantee at no cost.
<br /> 11. Grantee, in its acceptance hereof, hereby agrees to indemnify and save harmless
<br /> Grantor, from and against all lawful claims, demands, judgments, losses, costs
<br /> and expenses for any injury to or death of any person, or loss or damage to the
<br /> property of any person, in any manner arising from or growing out of the acts,
<br /> omissions, or presence on or near the Premises, of Grantee, or any of its
<br /> employees, or any of Grantees successors, assignees, contractors, agents,
<br /> representatives or invitees, or any of their employees, regardless of any
<br /> contributing negligence of Grantor, except to the extent such loss, damage, injury
<br /> or death aze caused by Grantor's gross negligence or intentional misconduct.
<br /> 12. Grantee, and each licensee under a signboard license agreement, shall obtain and
<br /> maintain liability insurance with a deductible no higher than $10,000 per
<br /> occurrence,from an insurance company (or companies) licensed to do business in
<br /> this state where the signboard licenses are located,and possessing a current Best's
<br /> Insurance Guide Rating of B and Class X, or better, commercial general liability
<br /> insurance in an amount not less than Three Million Dollars ($3,000,000.00)
<br /> combined single limit per occurrence, for any and all bodily injury, or death, and
<br /> property damage, with Seller named as an additional insured (Except this
<br /> requirement shall not apply to current licensees under licenses that require a
<br /> lesser amount of liability insurance; but Grantee in such cases shall undertake to
<br /> have such license's insurance coverage improved to this level as soon as
<br /> practicable). Grantee also either shall provide, and cause each applicable licensee
<br /> to provide, Railroad Protective Liability Insurance in the event of, and during the
<br /> course of, any construction or demolition work undertaken within 25 feet of any
<br /> active railroad track; such insurance to contain a deductible no higher than
<br /> $10,000.00 per occurrence,and to be obtained from an insurance company licensed
<br /> to do business in this state where this work is being performed, and possessing a
<br /> current Best's Insurance Guide Rating of B and Class X, or better, in an amount
<br /> not less than THREE MILLION DOLLARS ($3,000,000.00) combined single limit
<br /> per occurrence,for any and all bodily injury, or death,and property damage,with
