80--j,{,~~?3 <br />this contract shall be paid directly to the Sellers. It is <br />agreed that the duties and obligations of the Escrow Agent are <br />as depository only and to hold only the above referred documents <br />and to deliver them upon notice of completion of said contract <br />by Buyer. The Escrow Agent shall not be calle3 upon to construe <br />said contract or instrument, and in the event of any dispute <br />between the parties, the Escrow Agent shall have the right to hold. <br />the Abstract of Title and warranty Deed until a mutual agreement <br />has been reached by the garties or until the matter isas been <br />settled by a final judgment or decree of a Court of competent <br />jurisdiction. The annual fee charged by the Escrow Agent shall <br />be paid equally by the Buyer and Sellers. <br />8. Default and Remedies. If the Buyer fails~ta make any <br />payment due hereunder or perform any of the terms of this contract <br />as required of it for a period of ten (10) days after the same is <br />due or to be perfornted, then the Sellers shall have t_he option of <br />declaring a forfeiture, and the entire amount then due and owing <br />shall become immediately due and payable without notice t~ the <br />Buyer. In addition the Sellers shall be entitled, upon default <br />of Buyer, to foreclose said agreement as grovided by law, and <br />each of the garties are entitled to any other and further remedies <br />either at law or in equity. <br />9. Waiver. Any waiver of "the Sellers of the time or manner <br />of payment due hereunder or time or manner of performance of acts <br />required hereunder by the Buyer upon one occasion, shall not con- <br />stitute waiver or relinquishment of any right by Sellers to demand <br />subsequent payments when due or to demand performance by Buyer in <br />accordance with the terms of this agreement on any or other subse- <br />quent occasion. <br />10. Assignment. This Contract of Sale may be assigned by <br />the Buyer provided he has made all payments required hereunder and <br />perfprmed all of the terms of the contract, and upon securing the <br />written consent of the Sellers to such assignment, which consent <br />shall not be unreasonably withheld.
