<br />~~.~ t~04996 <br />40 <br />or fees of whatever nature shall be paid to the General <br />Partners for such services. <br />16.4 The fact that a Limited or General Part- <br />ner, or a member of the family or employee of any such person, <br />is directly or indirectly interested in or connected with <br />any person, firm or corporation employed by the Partnership <br />to render or perform a service or from which or to whom the <br />Partnership may buy or sell merchandise or other property <br />shall not prohibit the General Partners from employing such <br />person, firm or corporation or from dealing with him or it <br />on customary terms and at competitive rates of compensation, <br />and neither the Partnership nor the other Partners thereof <br />shall have any rights in or to any income or profits derived <br />therefrom. <br />16.5 The liability of the General Partners <br />pursuant to this Agreement shall be joint and several. How- <br />ever, the General Partners shall not be liable, responsible <br />or accountable in damages or otherwise to the Partnership <br />or arsy other Partner for any acts performed within the scope <br />of the authority conferred on them by this Agreement or for <br />their failure oz refusal to perform any acts except those <br />expressly required by law or pursuant to the terms of this <br />Agreement, or for their per€ormance, or omission to perform <br />any acts on advice of accountants or legal counsel for the <br />Partnership. <br /> <br />U <br /> <br /> <br />
