41 <br />so- ~o~9ss <br />10.5 In the event that {A) the General Part- <br />Hers default (i) in their obligation to make or provide the <br />loans required by Section 7.4, or (ii) in their obligations, <br />representations, warranties or covenants under Section 8. 1, <br />8.2 or 8.4, and fail to remedy any such default promgtly <br />after any Partner first sends them written notice thereof, or <br />(B) the General Partners default in their obligations under <br />Section 8.3, or (C) after the Deficit Loan Termination Date, <br />the General Partners have the option to make for any year the <br />Deficit Loan re€erred to in Section 7.5, and fail to make <br />such Deficit Loan; then in any such event a majority in <br />interest of the Limited Partners (determined in accordance <br />with eapital contributions) may terminate the services of the <br />General Partners and Meridith Property Management Corp. in <br />managing the Partnership's pro~,erty (and of any organization <br />designated by the General Partners to manage said property), <br />in which event the General Partners with the consent of a <br />majority in interest of the Limited Partners (determined <br />as aforesaid) shall select a new managing agent. In addition <br />to the foregoing, in the event of any default described in <br />subsection {A) or (B), the Limited Partners shall have the <br />right, at their option, to purchase all, but not Bart, of the <br />interest of the General Partners in the Partnership (includ- <br />ing their interest in all Deficit Loans) for a total consid- <br />i.~ <br />U <br /> <br /> <br />
