1 <br />86- 100940 <br />condition as they are now, or may be put by said Sublessor, reasonable wear and tear and <br />unavoidable casualties, condemnation, or appropriation excepted. Upon nonpayment of <br />any of said rent or other payments when due, or any failure to perform the covenants <br />contained in this Sublease, after fifteen (15) days written notice of any default in regards <br />to rent and after thirty (30) days written notice of any other item of default, the <br />Sublessor, at its option, may reenter the demised premises, may remove Sublessee and all <br />persons holding under Sublessee from the premises and may terminate this Sublease and <br />reenter and repossess the premises; provided, however, that such reentry, repossession <br />and /or termination shall not constitute an acceptance or surrender of this Sublease or a <br />waiver of any of Sublessees rig`its or remedies, including without limitation, the right to <br />relet the premises, or any part thereof, for the benefit of Sublessee and to recover <br />damages for Sublesseds default. The term "Sublease Year" shall mean a period of time <br />identical to the time period described as "Lease Year" under current term of the Prime <br />Lease. The term of the Sublease shall end upon the termination of the Prime Lease and <br />should not be extended by the exercise of any options by Scrivner, Inc., to whom <br />Sublessor has assigned such options simultaneous with the execution of this Sublease, <br />unless sooner terminated pursuant hereto. <br />3. Rent. <br />(a) Sublessor shall faithfully and promptly pay all rent payments <br />due the underlying lessor under the terms of the Prime Lease, and the Sublessee shall pay <br />to the Sublessor, as rent on the subleased premises, the amount due as a monthly <br />payment under the terms of the Prime Lease less Four Thousand One Hundred Sixty -Six <br />and 66/100 Dollars ($4,166.66) per month (for a total rent concession of Fifty Thousand <br />Dollars ($50,000) per year) in advance on or before the first (1st) day of each month <br />during the term hereof. Such $4,166.66 monthly rent concession shall continue during the <br />first four (4) years of the Sublease term, and thereafter Sublessee shall pay an amount <br />equal to the amount due under the Prime Lease. Provided, that if percentage rental <br />pursuant to the Prime Lease becomes due in any of the first four (4) Sublease years, the <br />monthly rental concession shall be abated from and after the month in which percentage <br />rental so becomes due and continuing until the end of that Sublease year. The rent <br />concession will then recommence in the following Sublease year unless and until <br />percentage rent again becomes payable. Provided, that from and after the end of the <br />fourth (4th) Sublease year, no further rent concession shall be allowed.
