SUBLEASE AGREEMENT <br />(2 111 N. Webb Road, Grand Island, Nebraska) <br />(� gs- 100940 <br />THIS SUBLEASE AGREEMENT (hereinafter the 'Sublease ") is made and <br />E <br />entered into as of the J� day of November, 1984, by and between AMERICAN <br />COMMUNITY STORES CORPORATION, a Texas corporation (hereinafter "Sublessor "), <br />whose address is 14303 Inwood Road, Dallas, Texas 75234, and McCORD ENTERPRISES, <br />INC., a Nebraska Corporation (hereinafter "Sublessee ") whose address is 150 West 4th <br />Street, Superior, Nebraska, 68978. <br />WIT NESSETH- <br />That WHEREAS Sublessor is the lessee of those certain premises located at <br />2111 N. Webb Road, in the City of Grand Island, State of Nebraska, more specifically <br />described on Exhibit "A" attached hereto, leased by Mid - Continent Enterprises, <br />Incorporated, a Nebraska Corporation to Sublessor under a certain Lease Agreement <br />dated July 21, 1977 (hereinafter "the Prime Lease ") as amended by a Lease Amendment <br />dated December 5, 1978, and further amended by a Lease Amendment dated December 8, <br />1978, copies of which Sublessee acknowledges receiving, and Sublessor desires to sublease <br />said premises (as described more particularly in the Prime Lease and on Exhibit "A ") to <br />Sublessee, in accordance with the terms hereof. <br />NOW THEREFORE, in consideration of the terms, covenants, conditions and <br />agreements contained herein, the parties hereto contract and agree as follows: <br />1. Sublease; Assumption of Liability. Effective as of 10:00 p.m. C.S.T. <br />on November 3, 1984 (hereinafter the "Transfer Date), Sublessor hereby subleases to <br />Sublessee, and Sublessee accepts from Sublessor, the premises demised under the Prime <br />Lease subject to all terms and provisions contained in the Prime Lease, specifically <br />including the rental provisions thereof, which Prime Lease is incorporated into this <br />Sublease by reference. Sublessee hereby assumes all obligations of Sublessor under the <br />terms of the Lease as of the Effective Date including, without limitation, any obligations <br />to make payments or contributions for ad valorem taxes, special assessments or common <br />area maintenance. accruing from and after the Transfer Date. <br />2. Default. Sublessee shall faithfully and promptly perform all <br />obligations and duties imposed on Sublessor under the Prime Lease not to commit or <br />suffer waste; not to abandon the premises; not to use said premises for any unlawful <br />purpose; and, at the termination of this Sublease, to surrender said premises in as good <br />Sublease Agreement S1 ?B1.E9SOR <br />Dated: November - - -' 1984 <br />Page ! <br />J <br />
