87. 10534",3 <br />--13 - <br />(a) will diligently perform and observe all <br />of the terms, covenants and conditions of the <br />Lease required to be performed and observed by the <br />Mortgagor as such Lessee unless such performance <br />or observance shall have been waived or not <br />required by the Lessor, to the end that all things <br />shall be done which are necessary to keep <br />unimpaired the Mortgagor's rights as Lessee under <br />the Lease; <br />(b) will promptly notify the rortgagee in <br />writing of any default by the Lessor in the <br />performance or observance of any of the terms, <br />covenants or conditions on the part of Lessor to <br />be performed or observed, or of the occurrence of <br />any event, regardless of lapse of time, of the <br />character specified in Section (a) hereof; <br />(c) will promptly (i) advise the Mortgagee <br />in writing of the giving of any notice by the <br />Lessor to the Mortgagor of any default by the <br />Mortgagor, as such Lessee, in the performance or <br />observance of any of the terms, covenants or <br />conditions of the Lease on the part of the <br />Mortgagor, as Lessee thereunder, to be performed <br />or observed, and (ii) deliver to the Mortgagee a <br />true copy of each such notice; <br />(d) will, promptly after the execution and <br />delivery of this Mortgage or of any instrument or <br />agreement supplemental thereto, notify the Lessor <br />in writing of the execution and delivery thereof <br />and deliver to the Lessor a copy of each such <br />instrument or agreement; <br />(e) will promptly notify the Mortgagee in <br />writing in the event of the initiation of any <br />litigation or arbitration proceeding under and <br />pursuant to the provisions of the Lease; and <br />(f) will, within thirty (30) days after <br />written demand by the Mortgagee, use reasonable <br />efforts to obtain from the Lessor and furnish to <br />the Mortgagee the estoppel certificate of the <br />Lessor in such form as may be reasonably required <br />by the Mortgagee. <br />52.12.
