ASSOCIATION AND BOARD OF DIRECTORS <br /> <br />1) Authority and Power. The business and affairs of the Condominium shall be <br />managed by the Board of Directors. The administration of the Condominium <br />shall be governed by the Documents and the Act. The Board of Directors <br />shall have all of the powers, authority and duties permitted pursuant to the <br />Documents and the Act which arc necessary and proper to manage the <br />business and affairs of the Condominium. <br /> <br />2) Membership. The Board of Directors shall consist of Members and/ or Suite <br />Owners elected in accordance with the Association's Bylaws and the other <br />Documents. <br /> <br />3) Professional Management and Contract Termination Provisions. The <br />Association may utilize professional management in performing its duties <br />hereunder. <br /> <br />4) Board of Directors Standard of Care. The Board of Directors officers and <br />members shall exercise ordinary and reasonable care in the performance of <br />their duties <br /> <br />ARTICLE 6. COMMON ELEMENTS <br /> <br />1) Dedication of Common Elements.
