Seller represents that there are no latent defects in the Property of which the Seller is aware. Seller agrees to install <br />smoke detectors as required by law. This agreement shall in no manner be construed to convey the Property or to give any right of possession. <br />Risk of loss or damage to the Property, prior to closing date, shall be the responsibility of Seller. If, prior to closing, the structures on the <br />Property are materially damaged by fire, explosion or any other cause, Buyer shall have the right to rescind this agreement, and the earnest money <br />shall be refunded. <br />Default If Buyer fails to consummate this purchase according to the terms of this agreement, Seller may, at Seller's option, retain the earnest <br />money as liquidated damages for such failure, or utilize such other legal remedies as are available to Seller by reason of such failure. <br />Flood Insurance Determination: Buyer acknowledges that, as a condition of their loan, their lender will order an independent study to <br />determine if Federal Flood Insurance is required as a condition for financing. Buyer further acknowledges that this determination may be <br />different than Seller's current requirements or information given in good faith by Seller or Agents. Buyer agrees to hold Seller and Agents <br />harmless from liability due to the results of this flood determination. <br />Escrow Closing: Buyer and Seller agree that the closing of this sale may be handled by an escrow agent. If so, the listing broker is authorized <br />to transfer to the escrow agent the earnest money, other trust funds received by the listing broker and all documents and other items received by <br />the listing broker in connection with the sale. After the transfer, the listing broker shall have no further responsibility or liability to the <br />Buyer or Seller to account for funds or preparation of documents in connection with the closing of the sale. Closing charges shall be divided <br />evenly and paid by both Buyer and Seller unless otherwise specified in paragraph 3 of this agreement. Escrow agent will not be required to <br />disburse funds or deliver or record any documents until it has received certified funds, or other good, sufficient and collected funds , and all <br />conditions, terms, and provisions of this contract have been satisfied, performed and met. Buyer shall have the option of selection an escrow <br />agent in this transaction. <br />Counterparts and Fax Transmissions: This agreement may be executed in one or more counterparts; each of which is deemed to be an <br />original hereof and all of which shall constitute one and the same instrument. The facsimile transmission ( "FA)C") of a signed copy hereof or any <br />counter offer to the other party or his/her agent with confirmation of transmission shall constitute delivery.
