20040826 ARTICLE X USE OF PROJECT Vendor and Purchaser agree that Purchaser may use the Project for any governmental purpose permitted by law as may be desired by Purchaser. Purchaser shall, during the term of this Contract for Purchase, promptly comply with all valid statutes, laws, ordinances, orders, judgments, decrees, regulations, directions and requirements of all federal, state, local and other governments or governmental authorities, now or hereafter applicable to the Project or any adjoining public way, as to the manner of use or the condition of the Project or any adjoining public way. Purchaser covenants that the Project which is the subject of this Contract for Purchase is for the exclusive use of Purchaser. ARTICLE XI INDEMNIFICATION BY PURCHASER Purchaser shall indemnify and save Vendor or any of its officers and directors and the Trustee harmless against and from all claims by or on behalf of any person, firm or corporation arising from the Vendor's acquisition and ownership of the Project, including but not limited to: (a) any condition of the Project; (b) any breach or default on the part of Purchaser in the performance of any of its obligations under this Contract for Purchase; (c) any act or negligence of Purchaser or of its officers, agents, contractors, servants, employees or licensees or (d) any accident, injury or death of any person or damage to any property occurring in or as a result of any condition of the Project. Purchaser shall indemnify and save Vendor or any of its officers and directors and the Trustee harmless from and against all costs and expenses incurred in or in connection with any such claim arising as aforesaid; or in connection with any action or proceeding brought thereon, and upon notice from Vendor or any of its officers and directors or the Trustee, Purchaser shall defend the Vendor or any of its officers and directors or the Trustee in any such action or proceeding. In addition to the foregoing and notwithstanding anything contained in this Contract for Purchase which might be construed to the contrary, Purchaser covenants and agrees, to the fullest extent permitted by law, to indemnify and save Vendor or any of its officers and directors and the Trustee harmless with respect to any pecuniary liability (other than Vendor's obligation to make payment for costs of the Project from the Construction and Acquisition Fund) to which it or they might become subject as a consequence of the performance by Vendor or the Trustee or the Purchaser of any act in compliance with the terms and provisions herein contained. 10
