n� 1��' y� tii� AGREEMENT FOR PURCHASE OF REAL PROPERTY <br /> �7 BY AND BETWEEN <br /> . THE COUNTY OF HALL AND THE CITY OF GRAND ISLAND <br /> 12 Structural Modifications and Additions. Neither the City nor the County shall <br /> make structural modifications or additions to the Property without first consulting <br /> with and obtaining the consent of the other party� which consent shall not be <br /> unreasonably withheld. <br /> 13 Asbestos and Initial Remodeling of the Office Area. City shall contract for <br /> removal of all asbestos containing material and shall pay the costs and expense of <br /> said work utilizing funds received by the City from its claim for insurance proceeds <br /> received due to water damage to the Property. The City sha11 ensure that said <br /> asbestos removal work is performed by a properly licensed contractor and shall <br /> ensure that the removed asbestos containing materials are disposed of in a properly <br /> licensed landfill in conformance with Nebraska law. Excess funds, if any, <br /> remaining after asbestos removal, hereinafter "excess funds," sha11 be paid by the <br /> City to the County to be applied to costs of remodeling county's portion to <br /> county's specifications. The County shall be responsible for contracting of work <br /> and payment of all costs and expenses of initial repairs, modifications, and <br /> remodeling of the Office Area utilizing the excess funds and the County's funds. <br /> The City shall provide an accounting to County of the insurance proceeds received <br /> and disbursements of the same. <br /> 14 Right of First Refusal. In the event either party desires to sell its one half interest <br /> the party shall first offer said one half interest to the other party at fair market <br /> value determined based upon the highest and best use of the area occupied by the <br /> party desiring to sell its interest. An appraiser agreed to by the parties shall <br /> determine said fair market value. If parties unable to agree on an appraiser, two <br /> appraisers sha11 be nominated by each party. From said nominees the County shall <br /> select an appraiser at random by drawing. The parties shall equally share cost of <br /> appraisal. Should the nonselling party decline to purchase at said appraised <br /> amount, the selling party may sell its undivided one-half interest to a third party, <br /> who shall have the right to demand partition of the Property. <br /> Page 6 <br />
