ASSOCIATION AND BOARD OF DIRECTORS <br />1) Authority and Power. The business and affairs of the Condominium shall be <br />managed by the Board of Directors. The administration of the Condominium <br />shall be governed by the Documents and the Act. The Board of Directors shall <br />have all of the powers, authority and duties permitted pursuant to the <br />Documents and the Act which are necessary and proper to manage the <br />business and affairs of the Condominium. Not withstanding the foregoing, <br />Declarant may appoint or remove officers as set forth in Nebraska Revised <br />Statues § 76-861 (d). <br />2) Membership. The Board of Directors shall consist of Members and/or Unit <br />Owners elected in accordance with the Association's Bylaws and the other <br />Documents. <br />3) Professional Management and Contract Termination Provisions. The <br />Association may utilize professional management in performing its duties <br />hereunder. <br />4) Board of Directors Standard of Care. The Board of Directors officers and <br />members shall exercise ordinary and reasonable care in the performance of <br />their duties <br />ARTICLE 6. COMMON ELEMENTS <br />1) Dedication of Common Elements. Declarant hereby dedicates the Common <br />Elements to the common use and enjoyment of the Members, as hereinafter <br />provided. <br />2) Description of Common Elements. The Common Elements within the <br />Condominium shall consist of the following property, easements and such <br />additional Common Elements as shall be conveyed to the Association in the <br />future: <br />a) Easements. The Common Elements include the right to maintain and use, <br />and to the extent necessary for the Association to perform its duties with <br />respect to the Common Elements, all utility easements, access easements, <br />pedestrian access easements and landscaping easements as shown on the <br />Plat or Maps. <br />b) Landscaping. All lawns, shrubs, bushes, trees, flowers other plants and <br />landscaping materials. <br />c) Parking Facilities and Driveways. All parking areas, including curbs and <br />gutters, driveways and lighting components related to the parking areas and <br />driveways. <br />d) Sidewalks and Private Road Access. All sidewalks leading to exterior <br />entrances of the building or otherwise utilized by the general public, and all <br />6 <br />
