20210082 <br />b. Seller shall have ten days after receipt of such notice in which to make an offer <br />to purchase the Real Estate from Buyer, containing identical terms and provisions as <br />the offer originally received by Buyer. <br />c. If such offer from Seller is received by Buyer within the ten-day period, Buyer <br />agrees that the offer from Seller shall be accepted and the original offer received by <br />Buyer shall be rejected. <br />d. If the offer from Seller is not received by Buyer within the ten-day period, Buyer <br />may accept the original offer. <br />e. If Buyer shall subsequently modify the price of terms which Buyer is willing to <br />accept, Buyer shall reoffer the Real Estate to Seller. If Seller does not make an offer <br />to purchase the Property after ten days of receipt of such notice, but Buyer does not <br />accept the original offer or Buyer does not close the sale on the terms of this original <br />offer, this Right of First Refusal shall remain in full force and effect. <br />f. The rights granted to Seller by this Agreement shall be personal to Seller and <br />their heirs and devisees and shall not be assignable to any other party, except for <br />Seller's successors in interest. <br />g. All notices required by this Agreement shall be in writing and shall be deemed to <br />have been served when sent by certified or registered mail, return receipt <br />requested, postage prepaid, and addressed to the party to whom such notice is <br />intended as set forth in this Agreement, or at such other place as the parties may <br />from time to time specify. <br />2. Payment of the Purchase Price. The purchase price shall be paid in the following <br />manner: <br />u At the time of the execution of this Agreement, the Buyer shall have paid the <br />sum of Ten Thousand Dollars ($10,000.00) to (the Seller) pending the closing <br />of this transaction as an earnest money deposit pending the closing of this <br />transaction. <br />ll The balance of the purchase price, subject only to credits as provided herein, <br />shall be payable at closing. <br />3. Closing Date. The closing of this transaction shall be on or before March 1, 2020, <br />which is herein called the Closing Date. <br />Page 12 <br />
