2021008 <br />REAL ESTATE PURCHASE AGREEMENT <br />(Agricultural) <br />THIS AGREEMENT made and executed this day of /(1644 , 2020, by and <br />between John D. Willoughby and Joyce M. Willoughby, husband and wife, hereinafter referred <br />to as the "Seller", whose address is: 15499 W. Cedarview Rd - Wood River, NE and telephone <br />number is: 308-390-4500 and Bryce Consbruck and Megan Consbruck, husband and wife, <br />hereinafter referred to as the "Buyer", whose address is: 15020 W Cedarview Rd — Wood River, <br />NE and telephone number is: 402-604-0386. <br />WITHNESSETH: <br />WHEREAS, the Seller desires to sell to the Buyer and the Buyer desires to buy from the <br />Seller the real estate legally described as follows: <br />The West 1/2 of the Northeast 1/4 of Section 35, Township 10 North, Range 12 West of the <br />6th P.M., Hall County, NE; <br />hereinafter referred to as the "Real Estate"; and <br />WHEREAS, the Seller and the Buyer desire to set forth the terms of their agreement <br />herein, <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained, it is <br />agreed: <br />1. Purchase Price. The Buyer agrees to pay to the Seller and the Seller agrees to accept <br />from the Buyer the sum of Six Hundred Seven Thousand Six Hundred Twenty -Four <br />Dollars ($607,624.00) as the total purchase price of the Real Estate and the following <br />items of irrigation equipment and personal property: 7 -Tower Valley Pivot w/Corner <br />System. <br />1A. Additional Consideration / Right of First Refusal. As additional consideration, <br />the receipt and sufficiency of which is hereby acknowledged, Buyer agrees to grant <br />to Seller, or the survivor of them, and their successors and assigns, a Right of First <br />Refusal, pursuant to the terms and conditions provided below, to acquire the Real <br />Estate that is the subject of this Agreement. The Right of First Refusal referred to <br />above shall be exercised as follows: <br />a. If Buyer receives an offer to purchase the Real Estate acceptable to Buyer, in its <br />sole discretion, Buyer shall notify Seller in writing of such offer prior to accepting <br />such offer. <br />Page I 1 <br />
