<br />9. TAXES. To appear and represent me in all tax matters. To
<br />prepare, sign and file federal, state, or local income, gift, other
<br />tax returns of all kinds, claims for refunds, requests for
<br />extensions of time, ruling requests, petitions to the Tax Court or
<br />other courts regarding tax matters, and any and all other tax
<br />related documents including, without limitation, receipts, offers,
<br />waivers, consents, closing agreements and any power of attorney
<br />form required by the Internal Revenue Service, the State Department
<br />of Revenue, or other taxing authority with respect to any tax year
<br />as set forth below, to pay taxes due, collect refunds, post bonds,
<br />receive confidential information, and contest deficiencies
<br />determined by the Internal Revenue Service, the State Department of
<br />Revenue, or other taxing authorities; to exercise any elections I
<br />may have under federal, state or local tax law; and generally to
<br />represent me in all tax matters and proceedings of all kinds and
<br />for all periods set forth below before all offices and officers of
<br />the internal Revenue Service, the State Department of Revenue, and
<br />any other taxing authority.
<br />10. EXECUTION OF INSTRUMENTS. To sign and execute any and
<br />all checks, certificates of deposit, deeds, mortgages, leases,
<br />powers of sale and contracts or agreements, and all petitions,
<br />pleadings, motions and stipulations, which my attorney shall deem
<br />necessary or advisable.
<br />11. EMPLOYMENT OF AGENTS AND REPRESENTATION OF PRINCIPAL.
<br />To appoint and employ, with or without compensation, any
<br />accountants, attorneys at law, investment counsel, agents, servants
<br />or other persons, including their agents and associates, and to
<br />dismiss or discharge the same and to appoint or employ any others
<br />in their stead, to appear and represent me as to all matters
<br />covered by this power of attorney, or for any other purpose, with
<br />full power and authority to such agents and attorneys to do any and
