Easement Area is shown on attached Exhibit "B". <br />The roadway over, through and across the Easement Area has been or will be completed <br />in accordance with the specifications required by the City of Grand Island and the <br />Nebraska Department of Roads at the sole cost of the Second Party. <br />2. Grant of Easement. "Second Party", its successors and assigns hereby grants <br />and conveys to "First Party" and its licensees, tenants, guests, invitees, successors and assigns and <br />for the benefit of "Lot 2" and "Lot 3" a non-exclusive access easement for the purpose of vehicular <br />and pedestrian ingress and egress over, through, upon and across the "Easement Area." <br />3. Term. The term of the Easements shall be perpetual. The easement is and shall <br />be deemed to be a covenant running with the land ("Lot 1," "Lot 2" and "Lot 3") and shall be <br />binding upon the parties hereto and upon their successors and assigns. Any modification or <br />amendment shall be effective when duly executed, acknowledged and filed in the proper office of <br />the Register of Deed of Hall County, Nebraska. <br />4. Maintenance. "Second Party" shall maintain the "Easement Area," including but <br />not limited to the concrete in good condition and repair and provide snow removal and "First <br />Party" shall reimburse "Second Party" for fifty percent (50%) of the costs of maintaining the <br />"Easement Area"; provided, however, such costs shall not include snow removal costs or any costs <br />incurred in connection with the maintenance of the remainder of the access and parking areas <br />located solely on "Lot 1". In the event "Second Party" fails to maintain, repair or keep the <br />"Easement Area" in good repair and condition, "First Party" may perform any such repairs and <br />maintenance. In the event "First Party" elects to perform any such maintenance or repair after <br />written demand and a thirty (30) day period for "Second Party" to perform such maintenance or <br />repair (except in the case of an emergency, where no prior notice is required), "First Party" shall <br />be entitled to reimbursement for fifty percent (50%) of the costs so incurred.
