200007945 <br />request from Landlord, Tenant shall provide Landlord with a copy of any <br />license(s) required for the operation of the Fuel Facilities and a copy of any <br />reports generated by or on behalf of Tenant and submitted to any governmental <br />authority which address the status of the Underground Storage Tank System <br />within the twelve (12) months preceding Landlord's request. <br />7.6 During the term of this Ground Lease, Tenant agrees to comply <br />with all state licensing requirements and maintain any necessary state licenses for <br />the Underground Storage Tank Systems, if any, within the Leased Premises. <br />7. Common Area Development: The Ground Lease provides as follows: <br />9.1 Tenant shall reimburse Landlord for all expenses payable for and <br />attributable to the Leased Premises under the CAMA (to the extent that Tenant <br />has not paid such expenses directly to the Maintenance Director or other party to <br />whom such amounts are to be paid under the LAMA), in the amounts which are <br />owing from Landlord as Owner of the Leased Premises pursuant to the terms of <br />the CAMA. <br />9.2 Landlord shall timely bill Tenant (or instruct the Maintenance <br />Director, as defined in the CAMA, to bill Tenant) for its share of all expenses for <br />Parcel 24 as allocable for Common Area maintenance under the CAMA <br />(including the service charge allowed in the CAMA). Said bills shall be due and <br />payable directly to the Maintenance Director pursuant to the provisions of the <br />CAMA; provided that Tenant shall be entitled to contest, in good faith, any billing <br />under the CAMA which Tenant believes to be incorrect, except that Tenant shall <br />timely pay all undisputed amounts pending resolution of those items in dispute. <br />9.3 Notwithstanding anything to the contrary contained in this <br />Article 9 or in the CAMA, if the date of expiration or earlier termination of this <br />Ground Lease occurs prior to the date of expiration of the useful life (as <br />determined by the ADR [asset depreciation range] midpoint life established by the <br />Internal Revenue Service in effect on the date of this Ground Lease) of any <br />capitalizable improvements or additions made by Landlord to the Common Area <br />pursuant to the CAMA, Landlord shall, within thirty (30) days after the date of <br />expiration or earlier termination of this Ground Lease, refund to Tenant an <br />amount equal to Tenant's pro rata share (including Tenant's pro rata share of the <br />ten percent [10 %] service charge applicable thereto) of the unamortized cost of <br />said improvements or additions (to the extent that the same have actually been <br />paid by Tenant), computed on a straight -line basis over the useful life (as <br />computed above) of said improvements or additions. <br />9.4 Tenant agrees that the Leased Premises are subject to the terms and <br />conditions of the Operating Documents and Tenant agrees to perform with regard <br />to the Leased Premises all obligations of the Landlord under the Operating <br />Documents. Landlord agrees to timely forward to Tenant all notices Landlord <br />receives concerning the Leased Premises. <br />8. Assignment and Subletting: The Ground Lease provides as follows: <br />12.1 Tenant may assign this Ground Lease or sublet the whole or any <br />part of the Leased Premises. If Tenant assigns this Ground Lease or sublets its <br />interest herein, Tenant shall remain primarily liable to Landlord for full <br />performance of Tenant's obligations. Any assignment or sublease shall be subject <br />to and subordinate to this Ground Lease and the assignee or subtenant shall <br />comply with the terms herein. Tenant shall provide Landlord notice of any <br />assignment or sublet together with the name and address of the assignee or <br />subtenant within thirty (30) days of the assignment or sublet. <br />12.2 Notwithstanding the foregoing, in the event Tenant assigns or <br />sublets under this Ground Lease and removes from the Leased Premises any and <br />4 <br />
