<br />against rent, Trustor shall take such steps as are reasonable to
<br />prevent the accrual of any such right, notify Beneficiary of any
<br />act and of the amount of set -off, and take such steps to.discharge
<br />such set -off within thirty (30) days. Trustor shall not, without
<br />Beneficiary's consent, execute, modify, surrender or terminate any
<br />lease now existing or hereafter made, if such lease for all or any
<br />part of the Land and Buildings provides for a term of three (3)
<br />years or more.
<br />32. Bonstiaiary's Right to Perform Obligations and Protect
<br />Trust Property.
<br />(a) If Trustor shall fail to make any payments, or
<br />perform any of the other Obligations required by this Deed of Trust
<br />or any of the Related Loan Documents, or if any action-or
<br />proceeding is taken or.threatened to be taken which affects or may

<br />(�) All sums so paid lay E14n. ticiary, and gall costs and ;
<br />expenses, including, but not limited ta, reasonable attorneys' fees
<br />and expenses so incurred, and a reasonable service charge, together
<br />with interest thereon at the rate of fifteen percent (15 %) per -, -`-
<br />annum, from the date of payment or incurring, shall constitute
<br />additional indebtedness secured by this Deed of Trust, and shall be f.
<br />paid by Trustor to Beneficiary on demand.
<br />(c) If Beneficiary shall elect to pay any Imposition,
<br />Beneficiary may do so in reliance on any bill, statement or
<br />assessment procured from the appropriate public office, without
<br />inquiring into the accuracy thereof or into the validity of such
<br />imposition. Similarly, in making any payments to protect the
<br />security intended to be created by this Deed of Trust, Beneficiary
<br />shall not be bound to inquire into the validity of any apparent or
<br />threatened adverse title, lien, encumbrance, claim or charge before
<br />irking an advance for the purpose of preventing or removing the
<br />see .
<br />(d) Trustor shall indemnify Beneficiary for all losses
<br />and expenses, including reasonable attorneys' fees, incurred by
<br />reason of any acts performed by Beneficiary pursuant to the
<br />provisions of this section, and any funds expended by Beneficiary
<br />to which it shall be entitled to be indemnified, together with
<br />interest thereon at the rate of fifteen percent (15 %) per annum
<br />from the date of such expenditures, shall constitute additions to
<br />the indebtedness and shall )be secured by this Deed of Trust and
<br />shall be paid by Trustor to Beneficiary upon demand.
<br />33. Lvonts of Default. The term "Event of Default ", as used
<br />herein and in the Note, shall mean the occurrence or happening,
<br />from time to time, of any one or more of the following:
<br />(a) Payment of Indebtedness. If Trustor shall default
<br />its the due and punctual payment of all or any portion of any
<br />installment of principal and interest on the indebtedness e•iidenced
<br />by the Note, as and when *-he same shall become due payable,
<br />whether at the due date there-t, f. or at a date fixed lrr. prepayment
<br />or by acceleration or otherwise, and if such lefault shall c. :ntinui
<br />for a period of` thirty (30) days after written.,r�otice therdcf. by
<br />Beneficiary to Trustor.
<br />(b) Performance of Obligations. If Trustor shai_i
<br />default in the due performance of any of the Obligations made or
<br />owed by Trustor under the terms of this Deed of Trust, and if such
