201604300 or any successor section of such Code and consents to split gifts, closing agreements and any power of attorney form required by the Internal Revenue Service and/or any state and/or local taxing authority with respect to any tax year between the years 1986 and 2080; to pay taxes due; to collect and make such disposition of refunds as my Agent shall deem appropriate; to post bonds; to receive confidential information and contest deficiencies determined by the Internal Revenue Service or any state or local taxing authority; to exercise any elections I may have under federal, state or local tax law; to represent me or obtain professional representation for me in all tax matters and proceedings of all kinds and for all periods between the years 1986 and 2080 before all officers of the Internal Revenue Service and state and local authorities; to engage, compensate and discharge attorneys, accountants and other tax and financial advisers and consultants to represent or assist me in connection with any and all tax matters involving, or in any way related to, me or any property in which I may have any interest or responsibility. ARTICLE V - DISPOSITION OF CERTAIN PROPERTY If, in the judgment of my Agent, I will never be able to return to my living quarters from a hospital, hospice, nursing home, convalescent home or similar establishment, my Agent is authorized to lease, sublease or assign my interest as lessee in any lease or protect or sell or otherwise dispose of my living quarters (investing the proceeds of any such sale as my Agent deems appropriate) for such price and upon such terms, conditions and security, if any, as my Agent shall deem appropriate; to store and safeguard or sell for such price and upon such terms, conditions and security, if any, as my Agent shall deem appropriate, or otherwise dispose of any items of tangible personal property remaining in my living quarters which my Agent believes I will never need again (and pay all costs thereof) and, as an alternative to such storage and safeguarding, to transfer custody and possession (but not title) for such storage and safekeeping of any such tangible personal property of mine to the person, if any, named in my Will, trust or other document as the recipient of such property. ARTICLE VI - EXCLUDED POWERS My Agent shall not change the beneficiary of any policy or policies of life insurance or retirement, profit sharing plan or employee benefit of which I am the insured employee-beneficiary or owner, nor shall my Agent exercise any general power of appointment or power to amend, revoke, alter or terminate granted or reserved to me pursuant to any trust agreement. My Agent shall otherwise be authorized in general to do all other acts, deeds, matters and things whatsoever in or about my estate, property and affairs or to concur with persons jointly interested with myself therein in doing all acts, deeds, matters and things herein, either particularly or generally described, as fully and effectually for all intents and purposes as I could do in my own proper person if personally present, it being my intent to otherwise grant to my Agent a general power to act for me and in my behalf, and not a limited or special power, limited to the specific acts herein described provided that my Agent shall be prohibited (except as otherwise authorized in this instrument) from: (a) appointing, assigning or designating any of my Panp3/If 7
