201604300 assets, interests or rights, directly or indirectly, to my Agent, my Agent's estate, my Agent's creditors or the creditors of my Agent's estate; (b) disclaiming assets to which I would otherwise be entitled if the effect of such disclaimer is to cause such assets to pass in any one calendar year, directly or indirectly, to my Agent or my Agent's estate; or (c) using my assets to discharge any of my Agent's legal obligations, including any obligation of support which my Agent may owe to, others (excluding those whom I am equally with my Agent legally obligated to support). ARTICLE VII -ADMINISTRATIVE PROVISIONS 1. Bond, Accounting and Disclosure. My Agent shall be entitled to serve without bond, but shall keep full and accurate records of all transactions performed while acting as my Agent. During my lifetime, my Agent shall not provide an accounting or purposefully disclose any information concerning such transactions or inventory of my assets (except to the extent necessary to complete such transactions) to any person other than myself, the trustee under any revocable trust created by me, my conservator, the appropriate court in any action to appoint a conservator on my behalf, my income tax return preparer, and any other person(s) that I shall specifically identify in a written instrument delivered to my Agent. After my death and within 30 days after a written request being delivered to my Agent by any beneficiary of my estate, my Agent shall deliver to the personal representative of my estate and/or the trustee under any trust created by me to distribute the majority of my assets, as appropriate, a full and final accounting of all transactions performed by my Agent while acting as my Agent and an inventory of my assets as known to my Agent. Within 15 days after receipt my personal representative and/or trustee, as appropriate, shall then disclose such accounting and inventory to the residuary beneficiary or beneficiaries of my estate and any other beneficiary that would be affected by such transactions. Except to the extent expressly granted by this instrument, my Agent and/or my Agent's family members are prohibited from profiting from this agency relationship to my detriment 2. Liability. My Agent shall not be liable to me or any of my successors in interest for any action taken or not taken in good faith, but shall be liable for any willful misconduct or gross negligence. 3. Compensation. My Agent shall be entitled to reasonable compensation for services performed hereunder and shall be reimbursed for all reasonable expenses paid by my Agent. 4. Severability. If any part of any provision of this instrument shall be invalid or unenforceable under applicable law, such part shall be ineffective to the extent of such invalidity only, without in any way affecting the remaining parts of such provision or the remaining provisions of this instrument. 5. Governing Law and Applicability to Foreign Jurisdictions. This instrument shall be governed by the laws of the State of Nebraska in all respects, including its validity, construction, interpretation and termination, and to the extent permitted by law Drano A of 7
