i Assignment Agreements. All parties to the Assignment Agreements are hereby directed to honor the Purchaser as a valid party to the Assignment Agreements. J. The Debtors shall not sell the equipment or personal property subject to any leases between the Debtors and General Electric Capital Corporation ( "GE Capital "), or leases that were assigned to GE Capital by Minolta Business Systems, Inc., Panasonic Communications & Systems Company, Toshiba America Information Systems, Copy Co. Inc., or for which GE Capital is responsible for servicing (collectively the "GE Capital Leases "), or leases entered into with Bell South Financial Services nWa BFS Equipment Leasing (collectively the "BSFS Leases "). The Debtors shall provide counsel for BSFS and GE Capital with written notice of any proposed cure amounts in connection with the assumption and assignment of the GE Capital Leases and the BSFS Leases within ten days of entry of this Order. K. The Selling Debtors are hereby authorized to take such corporate action as may be necessary to implement this Order, to execute and file any necessary document with any appropriate secretary of state and to assist the Purchaser in any matters contemplated by the Purchase Agreement. This Order shall constitute all approvals and consents, if any, required by the laws of any state necessary to file, record and accept such documents. L. This Court retains jurisdiction to interpret, implement and enforce the terms and provisions of this Order, and each of the agreements executed in connection herewith and adjudicate issues relating thereto. M. This Order shall be effective immediately upon entry pursuant to Bankruptcy Rule 6004(g). CL; 5404340 %
