i <br />Assignment Agreements. All parties to the Assignment Agreements are hereby directed to honor <br />the Purchaser as a valid party to the Assignment Agreements. <br />J. The Debtors shall not sell the equipment or personal property subject to any <br />leases between the Debtors and General Electric Capital Corporation ( "GE Capital "), or leases <br />that were assigned to GE Capital by Minolta Business Systems, Inc., Panasonic Communications <br />& Systems Company, Toshiba America Information Systems, Copy Co. Inc., or for which GE <br />Capital is responsible for servicing (collectively the "GE Capital Leases "), or leases entered into <br />with Bell South Financial Services nWa BFS Equipment Leasing (collectively the "BSFS <br />Leases "). The Debtors shall provide counsel for BSFS and GE Capital with written notice of any <br />proposed cure amounts in connection with the assumption and assignment of the GE Capital <br />Leases and the BSFS Leases within ten days of entry of this Order. <br />K. The Selling Debtors are hereby authorized to take such corporate action as may be <br />necessary to implement this Order, to execute and file any necessary document with any <br />appropriate secretary of state and to assist the Purchaser in any matters contemplated by the <br />Purchase Agreement. This Order shall constitute all approvals and consents, if any, required by <br />the laws of any state necessary to file, record and accept such documents. <br />L. This Court retains jurisdiction to interpret, implement and enforce the terms and <br />provisions of this Order, and each of the agreements executed in connection herewith and <br />adjudicate issues relating thereto. <br />M.
