This Order is granted subject and without prejudice to the Hughes Objections, <br />which shall be heard by the Court at its omnibus hearing scheduled for November 14, 2000 at <br />9:30 a.m., unless resolved prior thereto. <br />O. To the extent any objections to the Motion filed by arty parties in interest (other <br />than the Hughes Objections) have not been otherwise resolved by this Order or by agreement of <br />the parties, such objections are hereby overruled. <br />P. No bulk sales law of any state shall apply in any way to the sale of the Sale <br />Locations to the Purchaser. <br />Q. Pursuant to section 1146(c) of the Bankruptcy Code, the sale of the Sale <br />Locations to the Purchaser shall be exempt from any and all stamp, value - added,. transfer, <br />recording and other similar taxes (other than income taxes) and any transfer or recording fees or <br />other similar costs incurred or assessed by any federal, state, local or foreign taxing authority <br />(including interest and penalties, if any) in connection with the sale or transfer of the Sale <br />Locations. <br />R. The Selling Debtors are authorized to comply with the Net Sale Location Sale <br />Proceeds Procedures with respect to the net proceeds of the proposed sale of the Sale Locations. <br />S. Notwithstanding any other provision set forth in the Motion, the Purchase <br />Agreement or this Order, the Purchaser is not hereby relieved of the obligations, if any, that it <br />would have under applicable nonbankruptcy law outside bankruptcy with respect to prepaid <br />funeral contracts being acquired from the Selling Debtors. <br />CL; 54D434v1 8 <br />
