100 <br />encumbrances, and other interests pursuant to section 363(f) of the Bankruptcy Code, including <br />but not limited to the Property Interests, and the Debtor are authorized and directed to execute <br />such transfer documents as are necessary to transfer the Sale Locations to the Purchaser, <br />including bills of sale, title transfer documents, deeds, and assignments. Liens on and <br />encumbrances of the Sale Locations shall attach to the proceeds of the sale. <br />H. This Order shall be binding upon and govern the acts of all entities, including, all <br />creditors of the Selling Debtors and other parties in interest, filing agents, filing officers, title <br />agents, title companies, recorders of mortgages, recorders of deeds, registrars of deeds, <br />administrative agencies, governmental departments, secretaries of state, federal, state and local <br />officials and all other persons and entities who may be required by operation of law, the duties of <br />their office, or contract, to accept, file, register or otherwise record or release any documents or <br />instruments, or who may be required to report or insure any title or state of title in or to any of <br />the Sale Locations conveyed to the Purchaser. All secured creditors with liens on and against the <br />Sale Locations are hereby directed promptly to execute release of lien documents (such as <br />releases of deeds of trust and UCC -3 termination statements) with respect to the Sale Locations <br />as reasonably requested by the Purchaser. <br />1. The Selling Debtors are hereby authorized, in accordance with sections 365(a), <br />(b)(1) and (f)(2) of the Bankruptcy Code to: (1) assume the Assignment Agreements; (2) sell, <br />assign and transfer to the Purchaser the Assignment Agreements; (3) execute and deliver to the <br />Purchaser such assignment documents as may be necessary to sell, assign and transfer the <br />Assignment Agreements; and (4) reject the Rejection Agreements. The assumption and <br />assignment of the Assignment Agreements shall be effective upon the closing.
