��14��135 �2} any deposit account into which Go�ernment Payments ar� directly transferred from a Go�ernment Recei�ables Account. As us�d herein, "�overnment Payment" means a payment from a governmental entity and shall include, �vithaut limitation, payments g�verned under the Socia� Security Act�4� U.S.�. §§ 1395 �t sey.}, including payments under Medi�ar�, Medicaid and TRI�AREI�HAMPUS, and payments administered or regulated by the �enters for Medicare and Medicaid Ser�ices of Department of Health and Human Ser-vices. Upon the Secured Party's request (which request need be made only once and nat on a recurring basis},the Master Tenant will take a�l reasanable steps to cause each of th� Master Tenant's depository �anks to pro�ide to the Secured Party, (A} whether hy Internet a�cess or atherwise, on-line screen access ta daily acti�ity in the Master Tenant's deposit accounts, and (B} a capy of each periodic account statement relating to the Master Tenant's deposit a�counts ordinarily furnished by the deposit�ry bank to the Master Tenant. The Master Ter�ant author�zes and appro�es of the Secured Party cammunicating directly with each dep�sitory bank that maintains a deposit account for th�Master Tenant. If the Ma�ter Tenant recei�es Go�ernment Payments, the Master Tenant wiil maintain one �r more separate d�posit account�s� into which anly �overnment Payments are deposited �collectively, the "Government RecQiyables A��aunt�"}, and the Master Tenant vvill not commingle ir� any Go�ernment Receivabies Accour�t proceeds of a�counts fr�rn non- go�ernmental sources with proceeds of accounts owing from go�ernmental sourc�s, ir�cludir�g Go�ernment Payment�. The Master Tenant shall cause all �o�ernment Payments ta be paid directly into a�o�ernment Recei�ables Account. Prior to causing or a�lowir�g any funds to l�e deposited into any Gavernment Rec�i�ables Accaunt, the Master Tenant sha�1 cause a DAISA to be entered int� with respect to each �overnment Recei�abtes Account by and among the �perator, or Master Tenant, if app�icahle, the Secured Par�y and the depository bank that mainta�ns such �overnment � Recei�abies Account. Unless otherwise expressly appro�ed by Secured Party and HUD, each DAISA shall instruct the depositary hank to initiate a funds transfer each business day, unless the Secured Party appro�es otherwise, of all a�aila�le funds in th� app�icab�e Go�ernment Recei�ables Account to a r�on-��vernment Recei�abl�s ACc�ur�t of th� �perator ar Master Tenant that is then subject to a DA�A. Nat less than thirty (3�} days prior to the effective date th�reof, the�Master Tenant wi 1� pra�ide ar wi 1l cause to be provided to the Secured Par�y a capy of �1} ar�y change to any DAISA, or �2} any new vr �hanged directions with respect to a �'io�ernment Receivables Account issued to a depnsitary bank mainta�ning such Government R�cei�ables Account, in each case no later than pro�iding the change or d�rections ta the depository bank. Unless a default exists under this Agr�ement or any other Master Lease Document or L�an Do�urnent, the Secured Par�y will not pra�ide notice to th� depasitory bank that is party to a DA�A that Secured Party is exercising rights �f control in the Master Tenant'S CI�'�]a51t ac�ounts.
