��14��135 <br /> �k� To the extent that any repres�ntat�ve of the Mast�r Tenant or other third <br /> party is named on nr has an xnterest in any dep�sit account now or hereafter esta.blished relevant <br /> to the flow of funds of the Master Tenant, such arrangement must be ac�eptable to Secured Party <br /> and HUD and compliant with any restrictions in the Loan Documents. The Mast�r Tenant shall <br /> cause deposit accounts ta comply with this se�tion and shall, �f r�Quired by Secured Party andlor <br /> HUD, cause such third party t� execute such security agreem�nts, joinders, DA�A and other <br /> dflcuments as may be requir�d by Se�ured Party for the purpo�e of granting Secured Party a <br /> security �nt�rest in, perfecting ❑r �ontinuir�g such security �nterest in, andlor binding �uch third <br /> party's interest in any such deposit accounts andlor funds or other items deposited therein. <br /> �I) Master Tenant will comply with all the terms and pro�isions �f the Master <br /> Lease. <br /> 4. ��MPLIANCE �VITH LAWS. The Master Tenant will camply with all <br /> applicable federai, state and locai lavvs. <br /> 5. TA�ES; E�PENSE�. The Master Tenant will pay, when due, all taxes, <br /> assessments and other charges lawfully and validly levied or assessed on the �ollateral or any <br /> par�thereof. The Master Tenant will pay or r�imburse the Secur�d Party for (i� any and all fees, <br /> costs and expenses, of what��er kind and nature, in�luding the fees, expenses and dishursemer�ts <br /> of the Se�ured Party's counsel �including but not �imit�d to fees, expenses and disbursements f�r <br /> preparation of documents, making title examinations and rendering opinion letters� which the <br /> Secured Party may incur in cannection with filing of any finan�ing statements or ather pub�ic <br /> notices to prote�t its interests hereunder, the enforcement, preser�ati�n, foreclasure, andlar <br /> protection of the Secured Par�y's rights andlor remedies under th� Master L�ase Dacuments and <br /> L�an Documents, whether incurred thraugh judicial proceedings or otherwise, or in defending ar <br /> prosecuting any actians �r praceedings arising out of or retating to the Master Leas� Documents <br /> and L�an Documents, and �ii} a1i filing and recarding fees and taxes payable in c�nnectior� with - <br /> the transactions cor�temp�ated by the Master Lease Documents. Al� amounts payable by Mast�r <br /> Tenant to Secured Party under this Section 5 will be paid by the Mast�r Tenant upon the Secured <br /> Party demand therefar. <br /> 6. INSPECTI�N; NUTI�ES. Subject fio the priva�y rights of the residents or <br /> other ir�div�duals ser�ed by the Healthcar� Facility the Secured Party, or its agents, may enter on <br /> the Project andlor the Healthcare FaGility and any other �allateral Iocatior� at any time during <br /> normal busir�ess haurs, and from time to time, for the purp�se of inspectzng the Pr�ject andlor th� <br /> C�llateral and making ��pies or abstracts of all af the Master Tenant's records pertaining ta th� <br /> Collateral. The Master Tenant will keep, �r cause to be kept, accurate and �omplete. records of <br /> the Collateral. The Master Tenant will g��e the Secured Party prompt notice of any new facts <br /> which, under the applicable pro�isions of law, would affect the priority of the security interest <br /> granted t�the Secured�Par�y herein and of any E��nt of D�fault. <br /> . 7. INSURAN�E. To the extent required by Pragram �bligations, the �Vlast�r <br /> Tenant w�ll purchase and maintain nr cause the �peratar t� purehase and maintain insurance at <br /> all times with respect to ali tangible �ollateral against risks of fre ��ncluding so-called extended <br /> �o�erage}, theft, vandal}sm and such other risks as the Secured Party may require, in such form, <br /> for such periods and written by such companies as may be satisfactory to the Secured Par�y, such <br /> Previous�ersions obsole�e Page 1�of 2D form HUD-9234�-�RCF�Re�.431'�3} <br />
