201403370 <br />a. Limited Liability. The personal liability, if any, of Agent to <br />Principal or to the successors of Principal is limited to liability only for the direct <br />consequences of gross neglect or willful misconduct of Agent within the scope of <br />this instrument and does not include liability for any action omitted or taken or for <br />any decision made by Agent in good faith pursuant to this instrument. <br />b. Delegation, Substitution and Succession. Agent is entitled to <br />delegate to any other person or persons any authority or power conferred pursuant <br />to this instrument, to substitute any other person or persons completely or <br />partially in such capacity, and to revoke any such delegation or substitution <br />subject to the terms of this instrument; and upon the inability or unwillingness of <br />Agent to continue in the capacity of Agent, Mark Alan Vanosdall, a domiciliary <br />of Hall County, Nebraska, shall be the successor for Agent, and shall thereupon <br />be entitled without any break in or other disruption of the continuity of the <br />relationship of Principal and Agent pursuant to this instrument to be and become <br />successor in such capacity to the full extent and with all authority and power as if <br />originally so designated pursuant to this instrument. <br />4. Administrative and General Matters. By this instrument, Principal <br />makes the following provisions for administrative and general matters of <br />relevance: <br />a. Fact Ascertainment, Authentication and Reliance. Agent is <br />entitled, at present and at any time or from time to time to determine and, by <br />affidavit, memorandum, statement or other appropriate means, to establish and <br />prove conclusively the fact of and all or any related circumstances as to the death <br />or incapacity of Principal or as to any other matter or question of fact within the <br />scope of this instrument; and any person or persons dealing with Agent is or are <br />entitled to rely upon conclusively and otherwise to treat as authenticated fact any <br />such determination and establishment thereof so made by Agent. <br />b. Court Authority. In the absence of any other applicable and <br />effective or operative provision of this instrument, the County Court of Hall <br />County, Nebraska, or any substitute or successor court of competent jurisdiction <br />is entitled at present and at any time or from time to time, at the informal <br />application of Agent, on its own motion, or upon the formal petition of any other <br />person with any interest in such matter, either by final and summary disposition <br />without notice or by final decree or order after hearing with or without notice to <br />fill any vacancy therein by appointment of any suitable individual or other person <br />as substitute for or successor to the capacity of Agent or to resolve conclusively <br />on any basis consonant with the import and purpose of this instrument any <br />question as to its efficacy or operation. <br />c. Determination of Incapacity. Agent is entitled at present and at <br />any time or from time to time to determine the commencement, continuation, <br />existence or termination of any incapacity of Principal of more than transitory <br />nature manifested by inability to attend to and manage normal and ordinary <br />business and personal affairs by reason of the duration or other characteristic of <br />such status not factually conclusive or substantially indicative nor legally or <br />otherwise presumptive of the death of Principal, the lawful or unlawful detention <br />or restraint of Principal, the disability of Principal through mental or physical <br />illness or other infirmity, or the incompetence of Principal through lack of status <br />or by reason of any other cause so manifested or of any incapacity of Principal <br />otherwise defined or determined by NEB.REV.STAT. §30- 2209(9) and §30- <br />2630(2), as of this date and as subsequently amended, and all other applicable <br />provisions of the Nebraska Revised Statutes, as amended. <br />d. Signature. Agent is entitled at present and at any time or from <br />time to time to use within the scope of this instrument a form of signature <br />comprised of the name of Principal immediately followed by the autographic <br />signature of Agent and the designation, "Agent." <br />Page 2 of 4 <br />
