201403370 <br />e. Construction. As appropriate, convenient or necessary for <br />construction of this instrument, the use of any gender, number or tense is <br />equivalent to the use of and imports respectively any one or more of the feminine, <br />masculine and neuter genders, both of either of the plural and singular numbers, <br />and any one or more of the future, past and present tenses; and as a matter of <br />convenience only and not of substance, the division and subdivision of the text of <br />this instrument into separately lettered, numbered and titled parts have no <br />relevance to its application or construction. <br />f. Invalidity and Severability. The invalidity in entirety or in <br />particularity of application of any separate part or parts of this instrument does not <br />invalidate any other part or parts to which validity may be accorded practicably <br />and reasonably in the absence of such entirely invalid part or parts or affect any <br />other particular application to which such part or parts may be put; and, as <br />appropriate, convenient or necessary for the validity of this instrument and the <br />application of its parts, they are and remain to the fullest extent practicable <br />independent of and severable from each other. <br />g. Original, Counterparts and Copies. Principal has executed the <br />original of this instrument and delivered it to Agent for retention and has also <br />executed and delivered to Agent several counterparts of the original of this <br />instrument; and any person or persons dealing with Agent is or are entitled to rely <br />upon conclusively and treat as the executed original of this instrument any such <br />executed counterpart thereof or any copy thereof made by any photographic or <br />other reproduction process and presented by Agent. <br />5. Reliance by and Indemnification of Third Persons. By this instrument, <br />Principal generally authorizes and empowers any bank, broker, court, custodian, <br />insurer, lender, registrar, transfer agent, trustee or other person or persons to <br />accept conclusively and to rely upon any action omitted or taken or decision made <br />by Agent within its scope unless and until the death of Principal or, if sooner, the <br />revocation of this instrument is, by notice thereof or otherwise, known to such <br />person or persons; and by this instrument, Principal undertakes for the benefit of <br />each such person so dealing with Agent and binds the assigns, estate and <br />successors of Principal to indemnify and hold harmless, by exoneration, payment, <br />reimbursement or otherwise, any such person for all damage sustained and all <br />liability incurred as a direct consequence of such acceptance and reliance. <br />6. Conservator and Guardian. By this instrument, Principal nominates <br />Agent, or, if impracticable, confers upon Agent first priority and right to nominate <br />any other person or persons to serve as involuntarily appointed guardian of the <br />person or conservator of the assets and estate of Principal; and by this instrument, <br />Principal generally authorizes and empowers Agent at any time or from time to <br />time both to secure and to terminate the voluntary appointment of Agent or of any <br />other person or persons nominated by Agent to serve as guardian of the person or <br />conservator of the assets and estate of Principal. <br />7. Revocation and Other Instruments. By this instrument, Principal makes <br />the following provisions for its revocation and the status of other instruments: <br />a. Prior Instruments. Principal hereby revokes, and this instrument <br />hereby supersedes, in their entirety, all and each of instruments of like or wider <br />scope previously executed by Principal; but such revocation and supersession do <br />not extend to an instrument of narrower scope or specific purpose previously <br />executed by Principal and do not invalidate any action omitted or taken or any <br />decision made by any person or persons within the scope of any so revoked and <br />superseded instrument. <br />Page 3 of 4 <br />
