PRESENT DURABLE AND GENERAL <br />POWER OF ATTORNEY <br />201403370 <br />I, Sharon Dee Vanosdall (hereinafter: "Principal"), a domiciliary of Hall County, <br />Nebraska, desiring and intending to establish a present durable and general power of attorney to <br />become effective immediately and intending the authority and power hereby conferred to be or <br />and this Power of Attorney shall not be affected by subsequent disability or incapacity of the <br />Principal, does hereby appoint, constitute and designate: <br />Marvin Gerald Vanosdall (hereinafter: "Agent ") of Douglas County, Nebraska, <br />together with any delegate, substitute or successor, the lawful and true agent and attorney -in -fact <br />for Principal and in the name and stead and to the use of Principal, commencing at once and <br />continuing throughout the duration without regard to the existence of any disability of Principal <br />hereafter begun, generally to execute, deliver or otherwise give legal effect to any document, <br />instrument or other paper, to acquire, transfer or otherwise deal with personal and real property <br />or any interest therein wherever located in Nebraska or elsewhere, to make any decision and omit <br />or take any action without restriction except as herein expressly limited and stated as Principal <br />might do in person while not under disability and otherwise to exercise all authority and power <br />hereby conferred or created henceforth and without regard to the commencement or the <br />continuation and existence hereafter of any disability of Principal; and Principal does hereby <br />further provide and stipulate in connection therewith as follows: <br />1. Durability. By this instrument, Principal creates and establishes a durable <br />and general power of attorney upon the following principles: <br />a. Legal Sources. The authority and power within the scope of this <br />instrument derive their validity from and constitute a durable power of attorney <br />under the provisions and within the meaning of NEB.REV.STAT. §30 -2664 through <br />§30 -2672, and all other applicable provisions of the Nebraska Uniform Durable <br />Power of Attorney Act, as of the date of execution and as subsequently amended, <br />and the Nebraska Probate Code, as amended; and the short form expressions <br />herein used have the respective meanings thereto ascribed by and are respectively <br />subject to application, construction, enforcement and interpretation as prescribed <br />under the provisions of Neb.Rev.Stat. §49 -1501 through §49 -1505 and §49 -1507 <br />through §49 -1561, as of this date and as subsequently amended, and all other <br />applicable provisions of the Nebraska Short Form Act. <br />b. Continuation. No authority or power within the scope of this <br />instrument is affected by any disability of Principal or any uncertainty as to the <br />death of Principal; and this instrument continues to be effective and operative <br />after the death of Principal unless and until Agent has, by notice thereof or <br />otherwise, acquired actual knowledge of the fact of such death. <br />c. Termination. The authority and power within the scope of this <br />instrument terminate and this instrument ceases to be effective and operative at or <br />after the death of Principal when, by notice thereof or otherwise, known to Agent <br />or, if sooner, upon its revocation by or for Principal. <br />2. Plenary Power. By this instrument, Principal confers upon and grants to <br />Agent, without limitation of the generality thereof, Plenary Power exercisable in <br />the absolute discretion and judgment of Agent, specifically inclusive of authority <br />and power to adopt, continue, modify or terminate for Principal any plan or <br />program of intermittent or periodic gifts of any income, corpus or other assets or <br />property of Principal to any ancestor or descendant of Principal, to any other <br />related or unrelated dependent of Principal, or to any generally tax exempt <br />charity, and generally to deal with and make any donations or gifts on behalf of <br />Principal. <br />3.
