This appointment is to be construed and interpreted as a limited power of attorney. The enumeration of specific items, rights, acts or powers heroin is not intended to, nor dons it give rise to, and it is not to be construed as a general power of attorney. Nothing contained herein shall (i) limit in any manner any indemnification provided by LPS to Chase under the agreement(s) LPS has entered into with Chase, or (ii) be construed to grant LPS the power to initiate or defend any suit, litigation or proceeding in the name of Chase, except as specifically provided for herein. If LPS rectives any notice of suit, litigation or proceeding in the name of Chase, then LPS shall promptly forward a copy of the notice of suit, litigation or proceeding to Chase in the manner specified by Chase, This Limited Power of Attorney is not intended to extend the powers granted to LPS under the agreement(s) LPS has entered into with Chase or to allow LPS to take any action with respect to Mortgages, Deeds of Trust or Mortgage Notes not authorized by those agreements or this Limited Power of Attorney. LP5 heroby agrees that the indemnification provisions set forth in Section 25.2 of the Default Services Agreement of May 17, 2004, as amended by tho Second Amendment of July 1, 2009 shall apply and control with respect to the exercise of the powers granted by Chase to LPS under this Limited Power of Attorney. This Limited Power of Attorney is entered into and shall be governed by the laws of the State of New Yark, without regard to conflicts of law principles of such state. Third parties without actual notice may rely upon the exercise of the power granted under this Limited Power of Attorney; and may be satisfied that this Limited Power of Attorney shall continue in full force and effect and has not been rovoked unless an instrument of rovocation has been made in writing by the undersigned.
