WITNESSETH: WHEREAS, the County of Hall, Nebraska, has adopted a Bond Resolution authorizing the issuance of its revenue bonds for the purpose of providing funds to pay the cost of {1) acquiring a 3easehold interest in all that certain real property situated in Hall County, Nebraska, more particularly described in Exhibit "A" attached hereto and incorporated herein by this reference; (2) constructing a certain industrial facility located thereon; and (3) acquiring certain items of machinery, equipment and other personal property to be installed or used in the building or on the existing. property, which items are listed on Exhibit "B" attached hereto and incorporated herein by this reference, which real property, industrial facility and leased equipment, as they may at any time exist, shall hereinafter be collectively referred to as the "Project"; WHEREAS, Sublessor has leased from the County of Hall the Project, together with all tenements, hereditaments, appurtenances, rights, 'privileges and immunities thereunto belonging or appertaining; WHEREAS, Sublessee desires to sublease from the Sublessor, the Project, together with all tenements, hereditaments, apgurtenances, rights, privileges and immunities thereunto belonging or appertaining; and WHEREAS, the governing body of the County of Hall has consented tp and expressly agreed that the Sublessor may enter into this Sublease Agreement with the Sublessee contemporaneously with -the execution of the Lease between the County of Hall, Nebraska, and'the Sublessor, NoW_ TFdEEREEQRE, in consideration of the covenants and agreements herein contained to be performed by the Sublessor and the Sublessee and other good and valuable consideration paid by each of the parties to the other, receipt of which is hereby acknowledged, the Sublessor and the Sublessee hereby agree as follows: _1_ ) C._..
