CASSIDY, an individual residing at 2535 Sunset Drive, Miami Beach, Florida 33140 ("Cassidy"}. W I T N E S S E T H: The parties hereto desire to form a general partner- ship under the laws of the State of Nebraska for the purposes hereinafter set forth. Accordingly, the parties hereto agree as follows: 1. Formation of Partnership; Princi al Office - The parties hereby form a partnership (the "Partnership") under the laws of the State of Nebraska. The name of the Partnership shall be CM Associates. The principal office of the Partnership shall be 2228 North Webb Road, Grand Island, Nebraska b8801, but other or additional places of business may be selected by the parties from time to time. 2. Business and Purposes of the Partnership - The Partnership is formed to enter into the following transac- tions: (a) To acquire from Cassidy a contract dated as of November 8, 1979, amended as of December 3, 1979, as of April 23, 19$0 and as of August 24, 7980 (collectively, the "Purchase Contract") for the gurchase of a shopping center in Grand Island, Nebraska known as Grand Island Mall (the "Property'), Wore particularly described in the Purchase Contract;
