<br />5. This Agreement is intended to be a covenant which
<br />runs with the land and is binding upon the undersigned
<br />limited partnerships and upon their respective successors,
<br />assigns and grantees, and shall not be modified without the
<br />prior consent of each first mortgagee then of record as to
<br />the real estate described in Paragraph 1 and/or Paragraph 2
<br />above.
