ARTZ~LE Ias INDEMNITY A21D RIGHTS oP AUTHORITY P23D TRUSTEE i - Section 9.1 Sublessee covenants and agrees to indemnify, protest, defend and save Sublessor, the Authority, all members of its Board of Trustees and the Trustee harmless from and against any and all claims, demands, liabilities, and costs, including attorney's fees, arising from damage or injury, actual or claimed, of whatsoever kind or character, to property (including loss of use thereof) or persons, occurring or allegedly occurring in, on or about the Project during the life of this Sublease or arising out of any action or inaction o€ Sublessee whether or not related to the Project. If requested by Sublessor or the Authority or the Trustee, Sublessee shall defend Sublessor, the Authority, any of its Trustees or the Trustee in any action or proceeding brought against it or them. Section 9.2 Sublessor agrees that, without Sublessee's consent thereto, it will not, unless required Say law, sell, encumber or otherwise transfer its interests in Project at any time during the life of this Sublease, except for the assignment of the Lease by Authority and of this Sublease and Sublessor's rights hereunder to the Trustee as provided for in the Lease and the Resolution. Section °.3 Zf Sublessee shall fail to keep or perform or to cause to be kept or performed any of its obligations as provided in this Sublease, the Sublessor, the Authority or the Trustee may {but shall not be obligated so to do), and without waiving or releasing Sublessee from any obligation hereunder perform such obligations, and anv sums paid by Sublessor, the . Authority or the Trustee and necessary incidental costs and expenses in performing such obligations shall be deemed to be owing to the Sublessor, the Authority or the Trustee, as the case may be, from Sublessee and shall be paid upon demand with f interest at nine percent (98} per annum. If Sublessee shall fail i-~ to pay ar eanse to be paid said stsm within ten (10) days after demand, Sublessee shall be deemed to be in default hereunder and Sublessor, the Authority and the Trustee shall have alI of the rights given under Article XZi hereof as if all notices required Z7
