I Section 18.3 whenever the consent or approval of either the Authority, Lessee or Region III is required to be given to some action or request of the other, neither shall unreasonably, arbitrarily or unnecessarily wit'rchold or refuse to give such approval or consent. Section 18.4 The parties acknowledge tha*_ the Authority may have expenses in connection wick the Project and in performing its functions under this Lease P.greement. The parties agree that such expenses of Authority shall be reimbursed to the Authority or paid directly by Lessee (or caused by Lessee to be paid); provided, however, that the total amount reimbursed or paid in any one year shall not exceed $1,000 unless the parties shall otherwise agree. Section 18.5 So long as any of the Eonds are outstanding, this Lease Agreement may be amended, changed or modified only as provided specifically herein or in the Resolution. Section i8.6 This Lease P.areeinent shall be construed and enforced in accordance with the laws of the State of Nebraska. wherever in this Agreement it is provided that either party shall or will make any payment or perform or refrain from performing any act or obligation, each such provision shall, even though not sa expressed, be construed as an express covenant to make such gay- ments or to perfo~n or not to perform, as the case may be, such act or obligation. Section 18.7 If for any reason any provision hereof shall be determined to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions hereof.. Section 18.8 The covenants, agreements and conditions hereizi contained shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. Section 18.9 This Lease Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed to be an original, but all of which together shall con- stitute one and the same instrument. -38-
