a LEASE AGREEMENT THiS LEASE AGREEMENT is made and entered into as of the first day of July, 1979, by and between Hospital Authority No. 1 of Hall County, Nebraska, a public body corporate and politic of the State of Nebraska (the "Authority" or the "Lessor"}, and Region III Facilities Corporation, a not-for- ` profit corporation existing under the Nebraska ?'onprofit Cor- poration Act (the "Lessee"). WZTNESSETH: The Authority has been created under the Hospital Authorities Act of the State of Nebraska and proposes to acquire a facility suitable for the treatment, including training and rehabilitation, of mentally ill, retarded and disabled persons {the "Project") in Hall County, Nebraska, and desires to lease the Project to the Lessee, and Lessee desires to lease the Project and further intends to provide for the operation of the Project as such a facility by sublease to Region III, as defined below. MOP:, THEREFORE, in consideration of the premises and the mutual covenants and agreements herein set forth, '~utharity and Lessee do hereby covenant and agree as set forth herein- after in this Lease Agreement, and for purposes of this Lease Agr~Pment; the words and phrases used herein shall have, unless the context requires a different meaning, the following meanings, to-wit: 1. "Act" means the Hospital Authorities Act of the State of Nebraska, being Sections 23-343.74 to 23-343.120, inclusive, Reissue Revised Statutes of Nebraska, 1943, as amended, including any subsequent amendments to the Act. 2. "Agreement" or "Lease Agreement" shall mean this Lease Agreement. 3. "Authority'" shall mean Hospital Authority No. 1 of Hall County, Nebraska, organized and existing under the Act, governed by its Board of Trustees. 4. "Bond Fund" shall mean the fund established and held pursuant to Section 5.1 of the Resolution. 5, "Bonds" shall mean the Series 1979 Bonds and any Additional Bonds issued as permitted by the Fesolution. 6. "Debt Service Reserve Fund" shall mean the fund established ,and held pursuant to Section 5.2 of the Resolution.
