200901644 Agreement, the prevailing Party shall be entitled to recover any reasonable costs and expenses in connection with such legal action, including, but not limited to, court costs and attorneys' fccs. (b) Time is of the essence with respect to the Agreement. ( c) None of the terms or provisions of the Agreement shall be deemed to create a partnership bctween or among the Parties in their respective businesscs or otherwise, nor shall it cause them to be considered joint venturers or members of any joint enterprise. Each Party shall be considered a separate owner, and no Party shall have the right to act as an agent for anothcr Party, unless expressly authorized to do so in the Agreement. (d) All exhibits referred to III the Agreement arc attached hereto and incorporated herein by reference.
