<br />200901644 <br /> <br />Agreement, the prevailing Party shall be entitled to recover any reasonable costs and expenses in <br />connection with such legal action, including, but not limited to, court costs and attorneys' fccs. <br /> <br />(b) Time is of the essence with respect to the Agreement. <br /> <br />( c) None of the terms or provisions of the Agreement shall be deemed to <br />create a partnership bctween or among the Parties in their respective businesscs or <br />otherwise, nor shall it cause them to be considered joint venturers or members of any <br />joint enterprise. Each Party shall be considered a separate owner, and no Party shall <br />have the right to act as an agent for anothcr Party, unless expressly authorized to do so <br />in the Agreement. <br /> <br />(d) All exhibits referred to III the Agreement arc attached hereto and <br />incorporated herein by reference. <br /> <br />(e) With respect to any Notices required to be given undcr the terms of the <br />Agreement, such Notices shall be deemed given and effective (i) three calendar days <br />after the date they are deposited in the United States mail, postage prepaid, return <br />receipt requested, addressed to the Parties at the following respective addresses; or <br />(ii) the date of actual delivery by recognized national overnight delivery servicc such as <br />Federal Express, UPS or Express Mail, addressed to the Parties at the f()llowing <br />respective addresses; or (c) the date of acttHll physic;;;1 de;.~vcry of Notice t~) a Party <br />addressed to the Parties at the following respective addresses: <br /> <br />Windridge Townhomes, LLC <br />c/o Housing Plus, LLC <br />2604 26th Avenue, Central City, NE 68826 <br />Attention: Kathryn L.
