<br />'-, <br /> <br />83-<)04276 <br /> <br />MEMORANDUM OF <br />SUBLEASE <br /> <br />THIS SUBLEASE, made as of this I,!!:. day of +ni... .. , <br />19~, by and between SIRLOIN STOCKADE, INC., a Nevada corporation, <br />hereinafter referred to as "Landlord", and SUNSHINE FAMILY <br />RESTAU~~TS, INC., a Nebraska cor?oration, hereinafter referred to <br />as "Tenant". <br /> <br />R E C I TAL S <br />------ <br /> <br />A. Landlord is the lessee in that certain Land and Buildinq <br /> <br />Lease dated the first day of July, 1974 (the "Prime Lease") in <br /> <br />which SIGMA, an Oklahoma Limited Partnership, is the lessor (the <br /> <br />"Prime Landlord") by virtue of which Landlord is in possession <br /> <br />of a parcel of real property, together '..i th the improvements thereon, <br /> <br />situate in the City of Grand Island, Co~~ty of Hall, State of <br /> <br />Nebraska, more commonly known as 2610 South Locust, Grand Island, <br /> <br />Nebraska, and more fully described in Exb.ibit "A" hereto. <br /> <br />B. It is the mutual des~re of the parties hereto that <br /> <br />Landlord sublet to Tenant such property described in Exhibit "A" <br /> <br />hereto, together with ~~e improvements thereon. <br /> <br />IN CONSIDERATION OF THE RECITALS AND OF THE TER~ AND <br />CONDITIONS HEREINAFTER CONTAINED, LA.."lDLORD HEREBY SUBLETS TO <br />TENANT, AND TENANT HEREBY TAKES FROM LANDLORD, FOR THE TERM ~~D <br />UPON THE CONDITIONS HEREINAFTER CONTAINED, THE REAL PROPERTY <br />DESCRI.BED IN EXHIBIT "A" HERETO. TOGETHER WITH THE IMPROVEMENTS <br />THEREON (HEREINAFTER REFERRED TO AS THE "SUBLET-PRE."'1ISES"). <br /> <br />TERM: <br /> <br />PRIMARY TERM: The Primary Term of this Sublease shall <br />commence at 12:01 a.m. on April 1, 1983, and shall terminate at <br />11:59 p.m. on J~~e 30, 1994. <br />EXTENSION TERM: Landlord hereby grants to Tenant <br />two (2) consecutive options to extend the Primary Term of this Lease <br />for two (2) consecutive five (5) year periods (the "Extension <br />Term(s)"), subject to the same rent conditions and covenants <br />herein contained, upon Tenant giving Landlord written notice of <br />its intention to extend the Lease for the next consecutive <br />Extension Term one hundred and eighty (ISO) days in advance of <br />the expiration of the then current term. If Tenant does not <br />exercise an extension option, the Lease shall then terminate at <br />the end of the then current Primary or Extension Term. <br /> <br />TENANT'S OPTION TO TERMINATE LEASE BEFORE END OF TERM: <br />Tenant may at its option terminate this Sublease and <br />any and all of its obligations hereunder at any time, by giving <br />Lapdlord six~y (60) days written notice and paying L~~dlord ten <br />(lO) month$ Fixed Minimum Rent, as described in Section 2 of this <br />S~leUe, such payment to be made on or before the end of such <br />siXty (60) day pe;l;'iod. Upon Tenant's exercise of such option. <br />the. individual qu.a.rantora of Tenant's Obligations under this <br />Sublease shall thereupon be released from such guaranty. <br />
