Each Party shall have the right to <br />maintain the electric equipment it owns in the building. <br />The building is owned by the City of Wood River and shall remain locked at all times <br />to prevent unauthorized access. Each of the parties shall have keys to the building and <br />access to any kind of code to disable security alarms if installed. A log will be kept in <br />the building and each Party agrees that anyone employed by the Parties who access the <br />building will sign the log indicating an arrival time, departure time and a reason for <br />entering the building. The building layout does have a door that allows access to the <br />area inside the substation fence. Access to this area is restricted to the co-owners of the <br />Substation. <br />Electric service to the building shall be provided by Southern Public Power District <br />and billed to the City of Wood River on the best rate available for this class of service. <br />The City of Wood River will pay for the electric service and will be responsible for <br />collection of any share of the electric expense from Pioneer Trail Energy LLC agreed to <br />by the City of Wood River and Pioneer Trail Energy, LLC. In the event that the City of <br />Wood River and Pioneer Trail Energy, LLC fail to otherwise agree, the entire cost of the <br />electric service shall be paid by the City of Wood River. Southern Public Power District <br />will provide without charge to the other Parties the exterior lighting. Such lighting shall <br />include lighting for the building and the adjoining substation. <br />Each ofthe Parties agrees not to adjust, modify, inspect or otherwise tamper in any <br />way with any equipment that is property ofthe other Parties. It is acknowledged by each <br />Party that some actions might be necessary to each others equipment for the benefit of all <br />Parties and to improve the quality of service to end use customers and to protect <br />equipment in the substation. Each Party agrees to indemnify each of the other Parties <br />from damages or injury occurring from their access to this building, unless it can be <br />shown that it occurred due to gross negligence on behalf ofthe other Party. Each Party <br />agrees to maintain their equipment in such a manner as to not present a safety hazard to <br />others with access to the building. Should a safety hazard be noticed by one Party they <br />shall be responsible for providing official notification to the other Parties. The Party <br />with the safety violation shall have a reasonable period of time to eliminate the safety <br /> <br />2 <br /> <br />Document for Execution <br />
