"t ~ 200805735 Facility Joint Access Agreement This Facility Joint Access Agreement entered into on this J"".) day of ~ ,2008 between the City of Wood River, Pioneer Trail Energy LLC and Southern Public Power District, hereinafter referred to collectively as the Parties and each individually as a Party, is to provide for unrestricted access to the electrical equipment building and the right to maintain electric equipment owned by the Parties in such building located at the Pioneer Trail Energy, LLC ethanol plant on the following- described real property: A tract ofland located in the Northeast Quarter of the Northeast Quarter of Section 25, Township 10 North, Range 12 West of the 6th P.M., Hall County, Nebraska, more particularly described as follows: Commencing at the Northeast comer of said Section 25; thence South 00 degrees 53 minutes 00 seconds East, (An Assumed Bearing) 810.29 feet on the East line of said Section 25; thence South 89 degrees 07 minutes 00 seconds West, 97.00 feet to a point on the West line of a 50 foot gas line easement, said point being the Point of Beginning; thence South 00 degrees 53 minutes 00 seconds East, 200.00 feet on said West easement line; thence South 89 degrees 07 minutes 00 seconds West, 100.00 feet; thence North 00 degrees 53 minutes 00 seconds West, 200.00 feet; thence North 89 degrees 07 minutes 00 seconds East, 100.00 feet to the Point of Beginning, said tract contains 20,000 square feet, more or less, which tract of land is located on Lot Two (2), Cargill Addition, an addition to City of Wood River, Nebraska. The building is located adjacent to the electric substation co-owned by the City of Wood River and Southern Public Power District and located on a tract of land described in the Grant of Easement from Pioneer Trail Energy, LLC to the City of Wood River dated March 14, 2007 and recorded March 29, 2007 as Document No. 200702512 in the office of the Register of Deeds of Hall County, Nebraska. This building contains electric equipment owned by each of the Parties which will require inspection, maintenance, replacement and adjustment from time to time. Exhibit "A" attached is a listing of the equipment currently owned by each Party located in the building and each party agrees that additional equipment may be installed as long as it does not restrict another Party's 1 Document for Execution
