Utili <br />and ties: Tenant shall be solely responsible for <br />shall before delinquency pay for all utilities <br />without limitation, electricity, including, <br />telephone, and any other services whichsmay be Bused or furnished <br />to or for Tenant incident to the use and occupation of the <br />Demised Premises. <br />13. Laws and -Regulations: Tenant shall at its sole <br />cost and expense comply with all laws, statutes, ordinances and <br />regulations of all governmental agencies having <br />the Demised Premises. The judgment of any court o <br />f ccompetent <br />jurisdiction, or the admission of Tenant in an <br />Proceeding against Tenant, that Tenant has b y action or <br />omissions violated any such ordinance, statute, law r reguat- acts or <br />shall be conclusive of such fact as between Landlord and Tenant, <br />14. Licensing ReguirAments: <br />14.1 Tenant shall maintain at all times during the <br />term hereof and any extensions or renewals hereof all <br />governmental licenses, permits and authorizations necessary for <br />the establishment and operation of the Demised Premises as a <br />nursing home and /or health care facility. Tenant shall not, <br />without the prior written consent of Landlord, effect any change <br />in the license category or status of the Demised Premises or an <br />part thereof. y <br />14.2 Tenant shall, at its own cost and expense, <br />promptly do and provide or perform each and every requirement of <br />any state or federal licensing or certification authority having <br />jurisdiction over the Demised Premises as a nursing home and /or <br />health care facility. Tenant shall have the right to a <br />protest any such requirement g PPeal or <br />the same at or prior to they time when that Tenant <br />requirement1becomes with <br />final and binding and no longer subject to appeal or protest. <br />14.3 Upon the expiration or termination of this <br />Lease, Tenant shall fully cooperate with Landlord in effecting a <br />transfer of the Demised Premises as a fully licensed and <br />operating nursing home and /or health care facility. <br />15. Inspection Reports: Tenant Landlord copies of all reports and documentssrre relating forward to the to <br />Demised Premises received from any state or federal licensing he <br />certification authorities having jurisdiction over the Demised <br />Premises as a nursing home and /or health care facility. Such <br />copies shall be so forwarded forthwith upon receipt of such <br />reports and documents by Tenant. <br />15.
