r <br />85-- , 000717 <br />past and future obligations of the foregoing entities to <br />Mortgagee arising from any past, present or future sale or <br />sales of crude oil by Mortgagee to Mortgagor or to any of the <br />Affiliates, together with interest thereon. Mortgagor <br />acknowledges and agrees that other mortgages, deeds of trust, <br />and security interests in and on other real and personal <br />property in other states and counties have been granted to <br />secure the above described indebtedness. Each and all of said <br />mortgages, deeds of trust, and security agreements shall <br />constitute security for the entire indebtedness without <br />allocation. <br />Section 3. Rights Upon Default. If the entire unpaid <br />principal of and the interest on the indebtedness secured hereby <br />shall have become due and payable, whether on demand or at any <br />stated dates of maturity thereof or prior thereto, and shall not <br />have been paid, Mortgagee shall have the following rights and <br />powers: <br />a. To sell, to the extent permitted by law, the <br />Mortgaged Property or any part thereof, at one or more <br />sales, as an entirety or in parcels, as it may elect, at <br />such place or places and otherwise in such manner and upon <br />such notice as may be required by law, or, in the absence <br />of any such requirement, as Mortgagee may deem appropriate, <br />and to make conveyance to the purchaser or purchasers; or <br />b. To proceed by a suit or suits, in equity or at <br />law, whether for the specific performance of any covenant <br />or agreement herein contained, or in aid of the execution <br />of any power herein granted, or for any foreclosure or the <br />sale of the Mortgaged Property or any part thereof, under <br />the judgment or decree of any court of competent jurisdic- <br />tion, or for the appointment of a receiver or receivers of <br />the Mortgagor as to the Mortgaged Property, or for the <br />enforcement of any other appropriate legal or equitable <br />remedy. <br />Mortgagee may conduct any number of sales from time to time. <br />The power of sale shall not be exhausted by any one or more such <br />sales as to any part of the Mortgaged Property not theretofore <br />lawfully sold, but shall continue unimpaired until all of the <br />- 4 - <br />
