If any provision hereof is invalid or unenforcea a in any jurisdiction, the other provi- sions hereof shall remain in full force and effect in such jurisdiction, and the remaining provisions hereof shall be liberally construed in favor of Mortgagee in order to effectuate the provisions hereof, and the invalidity or unenforceability of any provision hereof in any jurisdiction shall not affect the validity or enforceability of any such provision in any other jurisdiction. Section 24. Assigns, Etc. The terms, provisions, cov- enants, and conditions hereof shall bind and inure to the bene- fit of the respective personal representatives, successors, and assigns of the Mortgagor and Mortgagee. Section 25. Place of Payment. All indebtedness secured hereby shall be payable at the offices of Mortgagee in the City of Wichita, Kansas. Section 26. Uniform Commercial Code. To the extent appli- cable, this instrument shall e construed to be a security agreement and a financing statement pursuant to the Uniform Commercial Code as the same may be in force and effect in the State in which the real property is located, and the Mortgagor hereby grants to Mortgagee a security interest thereunder in the Mortgaged Property. In addition to the collateral herein described or referred to, the proceeds and products of such collateral are covered hereby. Mortgagee shall have all of the rights of a secured party under the Uniform Commercial Code, in addition to all other rights under this instrument. The parties agree that seven (7) days' notice of any sale or other disposi- tion shall be reasonable notice thereof. Section 27. Equal Priority of SURCO Mortgage. It is expressly agreed that all rights con erre ere y are to be of equal priority with the rights granted under the Mortgage on the above described real property held by Southern Union Refining Company, a (Delaware corporation, regardless of the respective dates of execution, delivery, and recording of such documents. Section 28. Further Assurances. Mortgagor will execute and deliver such other an urt er instruments and will do such - 11 - 7
