Mortgagor shall maintain the entire Real Estate in <br />at least as good and tenantable condition as it is at the <br />date of this Mortgage by promptly making all repairs or <br />replacements which are reasonably required. Without limiting <br />the foregoing general requirement, Mortgagor shall have the <br />specific obligation to make any and all repairs necessary t P <br />restore the premises to the condition they are in at the <br />date of this Mortgage which Mortgagee may reasonably require <br />by written notice to Mortgagor, which written notice shall <br />set forth the reasonable amount of time for Mortgagor to <br />complete said repairs. If Mortgagor does not comply with any <br />such notice, Mortgagee may re -enter the Real Estate and <br />complete all such repairs and add the reasonable axpense <br />thereof to the principal due to Mortgagee under this Mortgage. <br />7. Alterations. Mortgagor may make, at its own <br />expense, any alterations or improvements in or on the Real <br />Estate that Mortgagor may deem necessary or desirable for <br />Mortgagor's purpose; provided, however, the Mortgagor before <br />making any structural alterations and before changing the <br />outside walls, shall first have submitted plans of the <br />proposed alterations or improvements to the Mortgagee and <br />shall have received Mortgagee's written approval for the <br />making of such alterations or improvements. Mortgagor shall <br />make all alterations or improvements in accord with all <br />requirements of law and local regulations and in such a <br />manner as not to weaken the structural strength of the <br />building on the Real Estate. <br />B. inspection. During the term of this Mortgage <br />Mortgagee may enter the Real Estate at reasonable times to <br />inspect it. <br />9. Right of First Refusal. As further consideration <br />for Mortgagee's entering into this Mortgage Mortgagor hereby <br />grants to Mortgagee the right to purchase the real estate <br />mortgaged hereunder as follows: This right of first refusal <br />shall be that if at any time before the fifth anniversary of <br />this Mortgage and whether or not the debt secured by this <br />Mortgage is paid, r Mortgagor decides to sell'all <br />or any portion of the real estate to any person, then <br />Mortgagor must first offer to sell the real estate to Mortgagee <br />for the aggregate price of $304,036.00 to be paid at Closing <br />by the cancellation of the unpaid portion of this Mortgage <br />and the balance or deficit, if any, to be made up in cash. <br />After receipt of written notice from Mortgagor of its intention <br />to sell, Mortgagee shall have sixty (60) calendar days <br />within which to serve notice upon Mortgagor of Mortgagee's <br />intention to exercise this right of first refusal. Upon <br />such offer and exercise of the right of first refusal, <br />Mortgagor shall be obligated to provide Mortgagee with an <br />abstract showing marketable title to the premises, free and <br />clear of all liens and encumbrances whatsoever and the sale <br />shall be closed on the ninetieth (90th) calendar day after <br />Mortgagor's sending of notice of exercise of right of first <br />refusal to Mortgagee. If Mortgagee does not give notice of <br />its intention to exercise the option within the sixty (60) <br />day notice period, this right of first refusal shall lapse. <br />10. �R�estrictionq on Sale. During the term of this <br />Mortgage, Mortgagor `shall not sell, lease or give rigni <br />rots of <br />possession to all or anv cart of the roan Pstato to Anvone <br />without the prior written consent of Mortgagee; which consent <br />shall not be unreasonably withheld if the primary use of the <br />real estate is not to be changed. <br />11. :acceleration on Sale or Lease.
