<br />lease, the tenant's possession will not be disturbed by the
<br />Trustees, the Agent or the Lenders, or (ii) a subordination
<br />clause providing that the lease and the interest of the
<br />lessee in the demised real estate are in all respects
<br />subject and subordinate to this Mortgage; provided, however,
<br />that in the event any such lease fails for any reason to
<br />contain either of such provisions, no proceeding by the
<br />Trustee, the Agent or the Lenders to foreclose this
<br />Mortgage, or action by way of its entry into possession
<br />after any Default hereunder, shall in or of itself operate
<br />to terminate such lease unless the Trustee, the Agent or the
<br />Lenders, as the case may be, expressly requests such relief
<br />in writing, but the preceding provisions of this Section
<br />1.15 shall never be construed as subordinating this Mortgage
<br />to any such lease or any other lease.
<br />1.16. Financial Reporting. The Mortgagor shall
<br />furnish all financial reports required by the Loan
<br />Agreement, the Surco Note and the Surco Guaranty on a timely
<br />basis. The Mortgagor agrees to permit the Trustees, the
<br />Agent and the Lenders, and their agents, at reasonable times
<br />and intervals, to inspect and audit the Mortgagor's records
<br />relating to the Premises for any reasonable purpose.
<br />1.17. Collections. Until such time as the Agent shall
<br />notify the Mortgagor of the revocation of such power and
<br />authority, the Mortgagor will, at its own expense, endeavor
<br />to collect, as and when due, all amounts due with respect to
<br />any of the Rents, Leases, Contracts for Sale, Intangibles
<br />and other Collateral, including the taking of such action
<br />with respect to such collection as the Agent may reasonably
<br />request, or, in the absence of. such request, as the
<br />Mortgagor may deem advisable. The Agent, however, may, at
<br />any time, whether before or after any revocation of such
<br />power and authority or the maturity of any of the
<br />Liabilities, notify any parties obligated on any of the
<br />Rents, Leases, Contracts for Sale, Intangibles and other
<br />Collateral to make payment to the Agent of any amounts due
<br />or to become due thereunder and enforce collection of any of
<br />the Rents, Leases, Contract for Sale, Intangibles or other
<br />Collateral by suit or otherwise and surrender, release or
<br />exchange all or any part thereof, or compromise or extend or
<br />renew for any period (whether or not longer than the
<br />original period) any indebtedness thereunder or evidenced
<br />thereby. Upon request of the Agent, the Mortgagor will, at
<br />its own expense, notify any parties obligated on any of the
<br />Rents, Leases, Contracts for Sale, Intangibles or other
<br />Collateral to make payment to the Agent of the amounts due
<br />or to become due thereunder. Except as the Agent may
<br />otherwise consent in writing, the Mortgagor will forthwith,
