7a. <br />-15- <br />rtogether <br />with interest thereon at an annual rate of <br />interest <br />equal to the rate applicable to overdue <br />payments <br />under the Credit Agreement, or the highest <br />rate permitted by law, whichever shall be less, from <br />the date <br />of each such expenditure, shall be paid by the <br />Mortgagor <br />to the Mortgagee forthwith upon demand by the <br />Mortgagee, <br />and shall be secured by this Mortgage, and <br />the Mortgagee shall have, in addition to any other <br />right or <br />remedy of the Mortgagee, the same rights and <br />remedies <br />in the event of non - payment of any such sums <br />by the Mortgagor as in the case of a default by the <br />Mortgagor <br />in the payment of any installment of <br />principal <br />or interest due and payable hereunder.. <br />§3. Mortgagee's <br />Right of Possession. If any of the <br />following events (an "Event of Mortgage Default ") shall <br />occur: <br />(a) <br />any payment of principal required under the <br />Secured Debt or under this Mortgage shall not <br />be made within three (3) Business Days after <br />the date on which the same shall have first <br />because due and payable; or <br />(b) <br />any payment of interest or other sum under <br />the Secured Debt or under this Mortgage shall <br />not be made within five (5) Business Days <br />after the date on which the same shall have <br />first become due and payable; or <br />(c) <br />in any respect there shall be a failure to <br />perform Mortgagor's obligations under S2.7 or <br />I <br />§2.9 hereof; or <br />(d) <br />there shall be any breach of any other <br />condition or covenant of this Mortgage which <br />shall exist for more than fifteen (15) <br />Business Days after the earlier of the date <br />on which the Mortgagor shall have first <br />become aware of such breach or the date on <br />which the Mortgagee shall have first notified <br />the Mortgagor of such breach; or <br />(e) <br />any representation or warranty of the <br />Mortgagor in §1.4 or §1.6 hereof or in any <br />certificate delivered hereunder shall prove <br />to have been false in any respect (or, as to <br />§1.11 §1.2, §1.3, or §1.5 any material <br />respect) on the date when made; or <br />(f) <br />any Event of Mortgage Default under and as <br />defined in any of the other Mortgage <br />Instruments shall occur; or <br />r-° <br />
