.............. 200705368 6. Cargill is willing to provide such limited access to Pioneer Trail subject to the terms of this Agreement. Section 1. Agreement Grant of Non-Exclusive License. Cargill hereby grants Pioneer Trail a limited right and license as set forth below, for no fee, to access and use, upon the terms and conditions hereinafter set forth, the Premises for the purpose of completing the Work. The total value of the Work, with the exception of construction of the day tank, will not exceed SIX MILLION FIVE HUNDRED THOUSAND and NO/lOO Dollars ($6,500,000.00) without the prior written consent of Cargill, which shall not be unreasonably withheld. Section 2. Term. This license will be in effect commencing on the Signing Date and terminating on the Effective Date as defined above. Section 3. Conduct of Work. Pioneer Trail will conduct its activities in a manner that does not unreasonably interfere with Cargill's business activities at the Premises and in a manner that minimizes disturbance to the existing condition of the Premises. Any unreasonable disturbance to the Premises resulting from the Work will be completed, repaired or corrected promptly by Pioneer Trail at its sole expense. Section 4. Access to Premises. (a) Access will be limited to Cargill's normal business hours at the Premises during which a Cargill manager is present or at other times with the prior verbal approval of Cargill's local manager. Access will not unreasonably interfere with Cargill's operations at the Premises. In addition, Pioneer Trail will deliver to Cargill a projected weekly schedule of work which Cargill shall make commercially reasonable efforts to accommodate. (b) Cargill and Pioneer Trail will jointly establish work areas for DDG storage and loadout as well as an area for day tank/bin construction. Upon such joint approval of such work 2
