<br />200702101 <br /> <br />1. The recitals set forth above are incorporated herein by this reference. <br /> <br />2. Lessor acknowledges that Toukan Management, L.L.C. now holds the interest as <br />Lessee under the Original Lease Agreement as amended by the 1996 Amendment by virtue of a <br />succession of interest as described in the recitals above. <br /> <br />3. Lessee acknowledges that Cindy Braddy now holds the interest as Lessor under <br />the Original Lease Agreement as amended by the 1996 Amendment by virtue of a succession of <br />interest as described in the recitals above. <br /> <br />4. Lessor and Lessee each acknowledge that the lease term of the Original Lease <br />Agreement was for a period of twenty (20) years commencing June 1, 1977 and terminating May <br />31, 1997, subject to Lessee's right to renew the lease term for one (1) additional term of five (5) <br />years. <br /> <br />5. Lessor acknowledges that Lessee by way of the execution of the 1996 <br />Amendment effectively exercised Lessee's right to renew the Original Lease Agreement for a <br />five (5) year period commencing June 1, 1997 to May 31, 2002 and wherein Lessee was granted <br />the option to renew the lease for four (4) additional terms of five (5) years each. <br /> <br />6. Lessor acknowledges that Lessee by way of the execution of a certain Notice of <br />Exercise of Right to Renew dated November 27,2001 effectively exercised Lessee's right to <br />renew the Original Lease Agreement as amended by the 1996 Amendment for an additional term <br />of five (5) years commencing June 1,2002 to May 31, 2007. <br /> <br />7. Paragraph two of Article 2.1 of the Original Lease Agreement as amended by the <br />1996 Amendment is hereby amended and shall hereafter read as follows: <br /> <br />"This Lease shall automatically renew for six (6) additional, separate and <br />successive terms of five (5) years each, i.e. (a) June 1,2007 -May 31, 2012; (b) <br />June 1,2012 - May 31, 2017; (c) June 1,2017 - May 31, 2022; (d) June 1,2002- <br />May 31, 2027; (e) June 1,2027~May31,2032,and(f) June 1,2032-May31, <br />2037 upon the same terms and conditions as contained in the Original Lease <br />Agreement as amended by the 1996 Amendment and as further amended hereby <br />and for each renewal term unless Lessee delivers written notice to Lessor at least <br />180 days prior to the expiration of the previous renewal term(s) of Lessee's desire <br />not to renew this Lease. In the event Lessee delivers written notice to Lessor of <br />Lessee's desire not to renew this lease at least 180 days prior to the expiration of <br />the previous renewal term(s), the lease shall terminate effective as of May 31st of <br />the last year ofthe five (5) year term wherein said written notice is timely <br />delivered by Lessee to Lessor. Said notice shall be made pursuant to Article XIX <br />of the Original Lease Agreement as amended by the 1996 Amendment and as <br />further amended herein." <br /> <br />8.
