I _ <br /> <br />200702101 <br /> <br /> <br />RENEW AI. & Al\1ENDMENT OF LEASE AI'fD <br />GRA1'\~T OF RIGHI OF FIRST REFUSAL AGREEMENT <br /> <br />TIDS RENEWAL & A1\1ENDMENT OF LEASE Ai'fD GRANT OF RIGHT OF <br /> <br />FIRST REFUSAL AGREEMENT is made and entered into on the I {,day of December, <br /> <br />1996, by and between MARK SCHUELE and PHYLLIS SCHUELE (hereinafter collectively <br /> <br />referred to as "Lessor"), and TOlJK.Al'f ENTERPRISES, INC., an Ohio corporation. Successor <br /> <br />in interest to Mid-Nebraska Quality Foods, Inc. by virtue of merger and subsequent name change <br /> <br />(hereinafter referred to as "Lessee"), and is pursuant to the Lease and Grant of Right of First <br /> <br />Refusal Agreement by and between the aforesaid parties dated April 22, 1977 (hereinafter <br /> <br />referred to as the "Lease Agreement") for the property located in Grand Island, Nebraska. <br /> <br />RECITALS <br /> <br />\VHEREAS, Mid-Nebraska Quality Foods, lnc.'s interest as Lessee under the Lease <br /> <br />Agreement is now held by T oukan Enterprises, Inc., an Ohio corporation, by virtue of that <br /> <br />certain merger between Mid-Nebraska Quality Foods, Inc. and South Dakota Quality Foods, Inc. <br /> <br />wherein Mid-Nebraska Quality Foods, Inc. was the survivor and changed its name to ~1id-States <br /> <br />Enterprises. Inc. and which subsequently changed its name to Toukan Enterprises, Inc.; and <br /> <br />WHEREAS, the parties to the Lease Agreement acknowledge that the original term of <br /> <br />twenty (20) years commenced on June l, 1977 and is due to expire ~{a~ 31, 1997; and <br /> <br />WHEREAS, pursuant to Article 2.1 of the Lease Agreement. Lessee has notified Lessor <br /> <br />in writing of its election to renew the term of said Lease Agreement for an additional term of five <br /> <br />(5) years from June 1, 1997 to May 31, 2002, subject to the same terms and conditions of said <br /> <br />Lease; and <br /> <br />EX~IBIT "B" <br />
