Miscellaneous. <br /> <br />(a) Any notices or consents required or permitted under <br />this Assignment shall be in writing and shall be given in the <br />manner provided in the Loan Agreement. <br /> <br />(b) Except as otherwise provided herein, the law of the <br />state of Rhode Island shall govern the construction and <br />enforcement of this Assignment and the rights and remedies of the <br />parties hereto. <br /> <br />(c) The Assignor shall not assign any of its rights or <br />obligations hereunder without the prior written consent of the <br />Assignee. <br /> <br />(d) This Assignment shall he binding upon and shall <br />inure to the benefit of the parties hereto and their respective <br />successors and permitted assigns. Except as otherwise referred to <br />herein, this Assignment, and the documents executed and delivered <br />pursuant hereto, constitute the entire agreement between the <br />parties relating to the specific subject matter hereof. <br /> <br />(e) Incorporated herein by <br />representations, warranties and agreements <br />other terms and conditions set forth in <br />Documents. <br /> <br />reference are the <br />of the Assignor and the <br />all of the other Loan <br /> <br />(f) The Assignor shall do, make, execute and deliver <br />any and all such additional and further acts, assignments, deeds, <br />assurances and instruments as the Assignee may reasonably request <br />for the purpose of more completely vesting in and assuring to the <br />Assignee its rights hereunder in and to the Lease. <br /> <br />(g) Neither any course of dealing between the Assignor <br />and the Assignee, nor any failure to exercise, or any delay in <br />exercising, an the part of thfi' Assignee, any right, power or <br />privilege hereunder or under any other of the Loan Documents, <br />shall operate as a waiver thereof; nor shall any single or partial <br />exercise of any right, power or privilege hereunder or thereunder <br />preclude any other or further exercise thereof or the exercise of <br />any other right, power or privilege. <br /> <br />(h) The Assignee's rights and remedies with respect to <br />the Lease, whether established hereby or by any other of the Loan <br />Documents, or by any other agreements or by law, shall he <br />cumulative and may be exercised singularly or concurrently. <br /> <br />- 7 - <br />
